Notice regarding the receipt of decisions by KDD on the transfer of shares in connection with the exclusion of minority shareholders

In accordance with the provisions of the Rules of the Ljubljana Stock Exchange, d.d., Ljubljana, and the applicable legislation, KD Group, d.d., Ljubljana hereby issues the following announcement:

KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana, hereby informs the public that it has received decisions from KDD – Centralna klirinško depotna družba d.d. (hereinafter: KDD) regarding the transfer of shares in connection with the exclusion of minority shareholders of the issuers KD Življenje, zavarovalnica, d.d. and Adriatic Slovenica Zavarovalna družba d.d.

On 16 January 2007, KDD, pursuant to Decision No. KD 2263 dated 15 January 2007, transferred the shares of the issuer KD Življenje d.d. with the code SZZR from the accounts of the minority shareholders of KD Življenje d.d. to the majority shareholder, KD Holding d.d.

On 17 January 2007, pursuant to Decision No. KD 2229 dated 16 January 2007, KDD transferred shares of the issuer Adriatic Slovenica d.d. with the ticker symbol ADZR from the accounts of the minority shareholders of Adriatic Slovenica d.d. to the majority shareholder, KD Holding d.d.

Following the registration of the share transfers in the central register, KD Holding d.d. became the sole shareholder of Adriatic Slovenica d.d. and KD Življenje d.d. KD Holding d.d. will pay a cash settlement to the excluded minority shareholders in accordance with the resolutions adopted by the general meetings of both companies in December 2007.
