3 October 1995 The initiative committee for the establishment of the non-profit charitable organisation, the Ajda Foundation, met for the first

time. The Foundation was established on 15 November 1995, following the adoption of the Deed of Incorporation by Kmečka družba d. d. and two individuals. On 5 April 1996, the Foundation obtained approval of the Deed of Incorporation from the Ministry of Education and Sport, which subsequently entered it in the register of foundations.

Kmečka družba d. d. takes over the management of Slovenia’s oldest mutual fund – Galileo.
On 1 September 1995, Kmečka družba d. d. signed an agreement with Beta Invest d. o. o. regarding the transfer of management of the Galileo mutual fund. On 31 January 1996, the ATVP issued a decision granting authorisation to take over the management of the Galileo mutual fund.

družba d. d. became the manager of four of the Dadas mutual funds, namely Rastko I, Neli II, Diver and Herman Celjski. On 20 June 1996, the ATVP issued a decision granting Kmečka družba d. d. a licence to take over the management of part of the assets of the Dadas mutual funds. On the same day, a contract was signed with Proficio Dadas d. o. o. regarding the assumption of management of part of the assets (13 per cent of investors) of the aforementioned mutual funds.

14 February, the Supervisory Board of Kmečka družba d. d. adopted a resolution on the issue of bonds. On 17 April 1996, the ATVP granted Kmečka družba d. d. authorisation to issue the bonds, and on 18 May 1996, the ATVP issued a decision confirming that the bond issue had been successful. On 16 July 1996, the Management Board of the Ljubljana Stock Exchange issued a decision to list the bonds on the open market of the Ljubljana Stock Exchange.

družba d. d. merged part of the assets of four Dadas mutual funds into a single mutual fund and, on the same day, split it into two mutual funds, Rastko and KD Bond. On 21 August 1996, the company received authorisation from the ATVP to merge the acquired portion of the assets of all four Dadas mutual funds into a single fund and to simultaneously establish two new ones.

družba d. d. signs an agreement to co-found ABDS, a fund management company, d. d., in the Federation of Bosnia and Herzegovina, and acquires a 40 per cent stake. The Securities Market Commission of the Federation of Bosnia and Herzegovina issued a licence for the establishment of the company on 14 April 2000. The company was entered in the court register on 19 May 2000.

13 June 2000 ABDS

d.d. obtained a licence from the Securities Market Commission of the Federation of Bosnia and Herzegovina to establish the BIG Privatisation Investment Fund. On 27 April 2001, the BIG PIF was entered in the court register of the Federation of Bosnia and Herzegovina.

in Banja Luka, in the Republic of Srpska, signed an agreement with its partners and, through a capital increase, acquired a 49 per cent stake in VIB, an investment fund management company, a. d., which was established on 6 October 2000.

21 December 2000 The shares of the Kmečka družba d.d. Group (ticker symbol SKDR) are listed

on the open market of the Ljubljana Stock Exchange. On 23 May 2001, the ATVP issued a decision approving the listing of SKDR shares on the open market of the Ljubljana Stock Exchange.
30. January 2001 Kmečka

družba Holding d. d. signs an agreement to inject additional capital into Oslobođenje, the largest independent daily newspaper in the Federation of Bosnia and Herzegovina, and becomes its 39 per cent owner.

5 April 2001 The ATVP

grants the Kmečka družba d. d. Group authorisation to publish a public offer to purchase 20,000 ordinary registered shares in Kmečka družba d. d. The offer ran from 6 April to 18 May 2001. The public buy-back offer was accepted by 270 shareholders, who held 19,794 shares in the issuer, representing 98.97 per cent of the total share issue. On 31 May 2001, the ATVP issued a decision confirming the success of the public offer.

14 May 2001 The appointment of a new director of Kmečka družba Holding d. d. was entered

in the court register. Matjaž Gantar became the director. The Supervisory Board appointed him at its meeting on 6 March 2001.

24 May 2001 At the general meeting of shareholders, the shareholders

of Kmečka družba Holding d. d. approve the conversion of a portion of the ordinary registered shares into cumulative participating preference shares without voting rights. A total of 266,413 shares in Kmečka družba Holding d. d. were converted into cumulative participatory preference shares, representing 22.36 per cent of all the company’s issued shares.

of KD Group d.d. (formerly Skupina Kmečka družba d.d.) and KD Investments d.d. (formerly Kmečka družba d. d.) adopt, at separate general meetings of shareholders, a resolution to incorporate the management company KD Investments d. d. into the financial company KD Group d. d., on the basis of a takeover by public offer. The excluded shareholders are paid compensation on a 1:4 basis (for every 1 share in KD Investments d. d., shareholders receive 4 shares in KD Group d. d.). On 7 February 2002, the District Court in Ljubljana issued a ruling on the registration of the merger of KD Investments d.d. into KD Group d.d.

of KD Investments d. d. adopt a resolution to convert the public limited company (d. d.) into a limited liability company (d. o. o.). The District Court in Ljubljana entered the change in the company’s legal form in the commercial register on 30 August 2002.

Investments d. o. o., Ljubljana, acquires and becomes the 100 per cent owner of the Croatian management company Fondinvest d. o. o. and renames it KD Investments d. o. o., Zagreb. The purchase agreement was signed on 29 May 2002.


18 July 2002 The ATVP

issues a decision granting authorisation for KD Group d. d. to launch a public offer to acquire shares in KD Holding d. d. The public takeover bid took place between 1 and 28 August 2002. It was accepted by 758 holders of ordinary shares in KD Holding d. d., who held 347,010 ordinary shares in KD Holding d. d., representing 37.52 per cent of all the company’s issued shares to which the offer related. On 4 September 2002, the ATVP issued a decision confirming the success of the public offer. At the general meeting of shareholders on 9 September 2002, the shareholders of KD Group d. d. adopted a resolution to increase the share capital through contributions in kind for the purpose of acquiring KD Holding d. d.

The 10th General Meeting of shareholders of KD Group and the 9th General Meeting of shareholders of KD Holding are held. Shareholders of both companies, after being presented with the auditor's opinion and the Supervisory Board's report on the review of the annual reports of the company and the Group for 2005, discharged the Management Board and members of the Supervisory Board and adopted a resolution on the use of net profit. They also decided on the conversion to no-par-value shares and authorised the Management Board to acquire treasury shares, up to a maximum of 10% of the capital of each respective company, and appointed the auditor for the 2006 financial year.

  • Adriatic Slovenica offers the market renewed supplementary health insurance in the new "Specialists and Medicines" package. The package can be taken out with various sums insured for most services offered by specialist outpatient clinics in Slovenia, including medicines prescribed on a "white prescription", with an additional option to choose above-standard accommodation at a health resort.
  • Through the new AS claims portal, Adriatic Slovenica enables policyholders not only to report a claim, but also to track the progress of their claim in real time and communicate regularly with their case handler. Users who register receive their own password, allowing them to track the status of their reported claim on an ongoing basis. The portal also allows the submission of any additional documentation, photos or witness statements needed for a swift resolution of the claim. Particularly welcome is the ability for policyholders to ask their case handler a question about the progress of their claim at any time.
  • In the spirit of the Olympic year, and as a long-standing supporter of Slovenian sport and official insurer of Slovenia's Olympic athletes, Adriatic Slovenica prepares an attractive prize competition, "To the London 2012 Olympics with Adriatic Slovenica", which closes on 15 June and sends 6 lucky winners to watch the Summer Olympic Games in London.
  • To mark the 20th anniversary of its branches, Adriatic Slovenica's branches in Murska Sobota, Maribor, Celje, Kranj and Nova Gorica open their doors in March and April, organising numerous activities during an open-house week to promote insurance and a healthy lifestyle. Each branch also makes a significant donation to the local community in which it operates.
  • Due to strong demand from owners and investors, the insurer Adriatic Slovenica prepares new insurance for solar power plants. The insurance covers fire hazards, machinery breakdown, business interruption, and liability arising from the ownership and use of the power plant.
  • Update of the "Better Life" life insurance product with a new provider and improved DNA analysis service content.

  • KD Group, KD Kapital, KD Kvart and KD Mark relocate to new premises at Dunajska cesta 63 in Ljubljana (which becomes the company's new business address as of 1 May 2013).
  • On 26 April 2012, the Board of Directors of KD Group is informed that Dr Draško Veselinovič and Peter Grašek are resigning, at their own request, from their positions as Executive Directors and members of the Board of Directors of KD Group, effective as of the company's 17th Ordinary General Meeting of shareholders. The Board of Directors decides to propose to the General Meeting of shareholders the appointment of two new members of the Board of Directors, namely Gabrijel Škof and Aljoša Tomaž, for a term of office until 16 November 2013, and at the same time appoints them as Executive Directors of KD Group – Aljoša Tomaž with effect from 26 April 2012, and Gabrijel Škof with effect from the date of the 17th Ordinary General Meeting of shareholders.
  • In April and May, KD Skladi take part in open days at the insurer Adriatic Slovenica (AS), presenting "Saving in Funds for a Brighter Tomorrow".

The General Meeting of shareholders appoints Gabrijel Škof and Aljoša Tomaž as new members of the Board of Directors for a term of office from 7 June 2012 to 16 November 2013, and the Board of Directors subsequently, by circular resolution, appoints Aljoša Tomaž as Chief Executive Officer and Gabrijel Škof as Deputy Chief Executive Officer.
  • Luka Flere, M.Sc., CFA, takes over as Director of the Investment Sector at KD Skladi from Andraž Grahek.
  • The insurer Adriatic Slovenica launches a new life insurance product on the market, ON AS, which includes cover for the risk of certain forms of male cancer. The insurance covers the first occurrence of cancer of the male reproductive organs and also includes death cover for any form of cancer, as well as a daily benefit for hospital treatment of male cancer. The insurance can be taken out via direct mail, with an online option also planned. The marketing campaign for the launch of the new insurance is accompanied by a prize competition.
  • Adriatic Slovenica's Ljubljana branch begins operating from a single location at Celovška cesta 206 in June. On this occasion, on 13 June, the company presents its operations, marketing strategy and key new products to national media journalists, and marks a significant long-term partnership with the Slovenian Heart and Vascular Health Association in the field of cardiovascular disease prevention, with a donation.
  • Adriatic Slovenica informs the public that, from 1 July, due to the Fiscal Balance Act (ZUJF), it will increase the monthly premium for supplementary health insurance. The monthly premium will increase by EUR 2.89 to EUR 29.38, while the premium with a three percent discount will be EUR 28.50, i.e. EUR 2.80 more per month than before.
  • The insurer's website www.adriatic-slovenica.si receives an award as the second-best insurance website in the region of former Yugoslav countries at the 13th ICT and Insurance Conference (ICTI 2012) in Sarajevo, and is rated best among Slovenian insurance websites. The international jury awards Adriatic Slovenica's website second place among 26 competing websites, citing "excellent presentation of modern insurance products, and interactive, user-friendly services".
  • On 22 June, Adriatic Slovenica's Koper branch holds an open day to present its latest offering, with numerous activities for different generations.
  • Following the model of its new solar power plant insurance, Adriatic Slovenica also develops insurance for wind power plants, joining the ranks of insurers offering cover for alternative energy sources as well.

  • Zvonimir Marić, new Management Board member of KD Investments, Zagreb, receives authorisation from the Croatian regulator HANFA to serve as a member of the management company's Management Board.
  • KD Keš Depozit, a newly established investment fund of KD Fondovi, Skopje, receives authorisation for establishment from the Securities and Exchange Commission of the Republic of Macedonia.
  • Luka Podlogar takes up his 4-year term as a member of the Management Board of KD Skladi.
  • The insurer Adriatic Slovenica launches an extensive campaign to promote sales of supplementary health insurance among existing car and property insurance policyholders, continuing into August, September and October.
August
  • Ahead of the new school and academic year, the insurer Adriatic Slovenica prepares a quality range of accident insurance for preschool children, schoolchildren and secondary school students, with an exceptionally broad range of cover. The campaign to promote school accident insurance runs across various sales channels (internet, mobile sales, direct mail, leaflets) and includes numerous activities (prize competitions).
  • During the London Summer Olympics, the insurer Adriatic Slovenica carries out numerous communication activities to promote the Olympic spirit and its sponsorship of the Slovenian Olympic teams, a partnership now in its second decade. Using various tools (prize competitions, social media), the company reinforces its reputation as a socially responsible business.
September
  • At its meeting on 27 September 2012, the Board of Directors of KD Group appoints Willem Jacob Westerlaken and Matija Šenk as Executive Directors of the company, neither of whom is a member of the Board of Directors, for a term of office from 1 October 2012 to 16 November 2013. Due to the provisions of KD Group's articles of association limiting the number of Executive Directors to four, the term of office of Executive Director Jure Kvaternik ends by mutual agreement as of 1 October 2012.
  • The Supervisory Board of the management company KD Skladi operates in a new composition: Willem Jacob Westerlaken, Jure Kvaternik and Matija Šenk.
  • The company KD Fondovi Skopje begins marketing a newly launched investment fund, KD Keš Depozit, which invests in low-risk bonds and money-market instruments from Macedonia, EU member states and OECD countries, and countries of southern and eastern Europe.
  • In September and October, a no-entry-fee campaign is run for the KD Tehnologija equity fund.
  • KD Skladi take part in the Investo Expo investor fair and conference, held at Cankarjev dom in Ljubljana.
  • The insurer Adriatic Slovenica expands its range of policies that can be taken out via mobile phone. From September, in addition to Tujina AS travel insurance, the AS POLICA mobile app also allows supplementary health insurance and school accident insurance to be taken out via mobile phone.
  • In September and October, the insurer Adriatic Slovenica runs an extensive campaign to promote the take-up of supplementary health insurance among young people. The campaign alerts students to the importance of having supplementary health insurance in place once they lose student status, and is accompanied by an attractive prize competition.
  • On 14 September, the insurer Adriatic Slovenica organises a charity golf tournament for business partners, raising funds for the Slovenian Lymphoma Patients Association.
  • As the official insurer of the Football Association of Slovenia, on 7 September Adriatic Slovenica enables 22 children, winners of the "Let's Make Children's Dreams Come True" prize competition, to walk out onto the pitch alongside the players of the Slovenian and Swiss national teams before the match.
  • In line with EU Directive 2004/113/EC, Adriatic Slovenica standardises its pricing for critical illness and surgery insurance, which no longer differentiates by gender.
  • At the 17th General Meeting of KD Življenje on 3 September 2012, a resolution is adopted on the discharge and appointment of Supervisory Board members. The General Meeting is informed of the resignation of Dr Draško Veselinovič and discharges Tomaž Butina and Aleksander Sekavčnik. Effective as of the date of the General Meeting, in addition to Andrej Nemec, the General Meeting appoints Jure Kvaternik and Simona Jamnik Čok as Supervisory Board members for a term of office of 4 years.
October
  • At a press conference in Ljubljana, the management of the KD Group informs journalists and the wider public of the Group's new strategy. The KD Group, whose key activities are insurance and asset management, responds to conditions in the financial and economic sector with a new development strategy for successful, long-term and stable operations, aiming to become one of the leading insurance groups in the region within a few years. The KD Group intends to transform from a financial group into an insurance holding company. A strong regional insurance group will ensure the long-term growth and development of the Group, which is trusted by more than half a million customers.
  • On 1 October 2012, KD Group publishes a notice of takeover intention, followed on 30 October 2012 by a takeover bid for the acquisition of shares of GEA College d.d., Ljubljana.
  • As part of the 3rd Academy of Active Citizenship and Entrepreneurship, organised by the non-governmental organisation Mreža idej, KD Skladi holds an entrepreneurship workshop, "KD Skladi Challenge!", at which young participants can earn a paid internship at KD Skladi. The Academy took place in Piran.
  • As a partner, KD Skladi supports an educational project on native Slovenian domestic animal breeds at Ljubljana Zoo, organised by the insurer KD Življenje. KD Skladi is represented at the event with an information stand.
  • Adriatic Slovenica's branch in Novo mesto marks the 20th anniversary of its successful operations. At a press conference on 17 October, the company presents its business results and plans for the future, and opens new branch premises in Krško. On this occasion, a donation is made to the Krško Centre for Social Work.
  • Via direct mail, the insurer Adriatic Slovenica offers its policyholders death-benefit life insurance developed by the insurer KD Življenje, Življenjski kasko. The campaign is repeated again in November.
  • The insurer Adriatic Slovenica actively takes part in the debate on the impact of implementing the EU directive on cross-border healthcare, and, at the invitation of the Minister of Health, publicly presents its views. Representatives of the insurer are also active participants in a round table on remote care as an integral part of telehealth.
  • As part of its five-year sponsorship partnership with Ljubljana Zoo, the insurer KD Življenje supports an educational project on a farm of native Slovenian domestic animal breeds.
November
  • On 7 November 2012, for the purpose of objectively informing investors, KD Group publishes a notice that it has once again submitted a non-binding offer to acquire a 50.99% interest in Zavarovalnica Maribor d.d., Maribor, which was being sold by Nova kreditna banka Maribor d.d., Maribor, and explains in the notice the reasons for its decision.
  • The company KD Skladi launches the website mobile.kd-skladi.si, optimised for smartphones and tablets, where users can now follow information on funds, stock market developments and news from KD Skladi.
  • The company KD Skladi, as a sponsor, supports the World Youth Chess Championship, held from 7 to 19 November in Maribor, attended by more than 2,000 young chess players aged 8 to 18, thereby promoting awareness of the importance of saving from a young age.
  • The company KD Skladi relaunches its online branch, KD Skladi.net. In addition to a design refresh, it adds several useful new sections: investment structure by fund, asset structure by investment type (equity, money market, bond funds, etc.), and a comparison of net inflows and assets.
  • Companies within the KD Group (KD Življenje, KD Group, KD Skladi, Adriatic Slovenica) join the charity campaign for flood victims, "Let's Stand Together – Floods 2012", organised by RTV Slovenija, through the KD Fundacija, with a donation of EUR 5,000 to help children in flood-affected areas, with a further EUR 5,000 contributed by Adriatic Slovenica.
  • At the Romanian company KD Investments, Bucharest, the balanced mutual fund KD Optimus is merged into the equity fund KD Maximus.
  • For policyholders with above-standard insurance policies at Adriatic Slovenica, the Zdravstvena asistenca AS (Health Assistance AS) service is upgraded, offering comprehensive information and advice on the healthcare system and the range of above-standard health insurance products.
  • The insurer Adriatic Slovenica receives more than 700 claims due to heavy rainfall at the start of the month, which caused major watercourses to overflow and extensive flooding in the Štajerska, Koroška, Posočje, Vipava Valley and Dolenjska regions, and increased tidal flooding along the coast. The rainfall caused approximately EUR 3 million in damage to policyholders.

  • On 21 December 2012, KD Group publishes a notice of the successful outcome of its takeover bid for the acquisition of shares of GEA College d.d., Ljubljana.
  • The company KD Skladi receives approval from the Securities Market Agency for amendments to the management rules of the KD Umbrella Fund concerning the restructuring of sub-funds and changes to the management rules, which took effect on 14 January 2013.
  • The insurer Adriatic Slovenica, in order to comply with the EU directive on equal treatment of men and women, stops offering certain supplementary health insurance products.
  • The insurer Adriatic Slovenica updates the terms and conditions of supplementary health insurance under reference 01PZZ-A01-08/13, which will apply to supplementary health insurance contracts concluded or renewed after 1 January 2013.
  • The Fiscal Balance Act (ZUJF), introduced at the start of 2013, also affects the rights of war veterans, war invalids and victims of war violence, for whom the supplementary health insurance premium is paid by the state budget. The insurer Adriatic Slovenica informs beneficiaries who hold this insurance with Adriatic Slovenica of the necessary changes being introduced.
  • On 20 December, the insurer Adriatic Slovenica holds its traditional annual press conference in Koper for regional media journalists and national media correspondents, presenting its results for the year and plans for 2013. Matjaž Gantar, Chairman of the Board of Directors of KD Group, and Aljoša Tomaž, Chief Executive Officer of KD Group, also present the Group's new strategy to journalists, placing insurance at the forefront of its operations. On this occasion, the Management Board of the insurer Adriatic Slovenica signs an agreement with Janez Kocijančič, President of the Olympic Committee of Slovenia – Association of Sports Federations, for a new four-year sponsorship cycle. Matjaž Gantar, Chairman of the Board of Directors of the KD Fundacija foundation, presents a donation of EUR 10,000, contributed through KD Fundacija by all companies in the Group, to Breda Krašna, Vice-President of the Zveza prijateljev mladine Slovenije (Slovenian Friends of Youth Association).
  • The Supervisory Board of the insurer KD Življenje ends its cooperation with Jožica Palčič by mutual agreement; she will step down from her role as a member of the Management Board of KD Življenje effective 31 December 2012, and Gregor Sluga is confirmed as the new Management Board member in her place.

January
  • On 3 January, the insurer Adriatic Slovenica introduced a new paperless module for HR matters, supported by the Business Connect information system. As a result, all paper documentation for managing working time and business travel orders has been discontinued. In July, the system was further upgraded with a module for paperless invoice settlement and a paperless registry, and, at the end of the year, with a module for documentation of internal regulations and the quality management system.
  • In January, Maja Benko, M.Sc., was appointed Executive Director of the Life Insurance division at Adriatic Slovenica.
  • The company KD Skladi amends its prospectus and merges four funds into the KD Umbrella Fund: KD Severna Amerika, equity fund, and KD Finance, equity fund, into the sub-fund KD Galileo, flexible investment structure (renamed KD Galileo, mixed flexible fund); KD Nova energija, equity fund, into the sub-fund KD Surovine in energija, equity fund; and KD EM Infrastruktura in gradbeništvo, equity fund, into the sub-fund KD Novi trgi, equity fund. In addition, it converts the mutual fund KD Delniški dohodkovni into a sub-fund of the KD Umbrella Fund named KD Dividendni, equity fund.

  • On 22 February 2013, KD Group received a ruling from the Supreme Court in Ljubljana, deciding on the appeal on points of law filed by the plaintiffs 1. R & V, d.o.o., Ljubljana, 2. Boštjan Vovk, Ljubljana, 3. SVET 100, svetovanje in storitve d.o.o., Ljubljana, and 4. Marles d.d., Limbuš, against the judgment of the Higher Court in Ljubljana I Cpg 889/2009 of 24 February 2010, relating to the decision of the District Court in Ljubljana V Pg 2048/2008 of 7 May 2009, in the case against the defendant KD Group concerning the nullity and voidability of the resolutions of the company's General Meeting of shareholders of 29 August 2008. The Supreme Court upheld the appeal on points of law, filed on the grounds of incorrect application of substantive law, and amended the judgment of the second-instance court so as to dismiss the defendant's appeal against the first-instance decision and uphold the first-instance decision in the contested point 3 of its operative provisions. As a result, this judgment annuls resolution no. 2.2 of the company's 11th General Meeting of 29 August 2008 on the allocation of net profit for 2007.
  • Adriatic Slovenica introduced new accident insurance covers: bone fracture due to accident, burns due to accident, total loss of sight due to accident, total loss of hearing due to accident, and death due to fire. To enable a fast and simple payout with minimal documentation, an additional accident insurance option was introduced, giving policyholders faster access to additional funds to offset the financial consequences of an accident.
  • On 1 February, Adriatic Slovenica began an internal reorganisation with an emphasis on a process-based approach, under which teamwork and flexible working became the fundamental guiding principle for all employees at the insurer, enabling even greater adaptability and an even greater focus on meeting the needs of our customers. The reorganisation was completed on 1 October.
  • In February, Aleš Žižmund was appointed Executive Director of Sales to Small Businesses and Individuals at Adriatic Slovenica, and Tanja Blatnik was appointed Executive Director of Insurance Operations.
  • In early February, educational and motivational events, the "Adriatic Slovenica Sales Conference", were held in Rogaška Slatina and Ankaran for the company's own agent network, agency network and key account managers, attended by more than 600 participants in total. The main aim of the events was to give participants a detailed overview of what's new at the company, both in terms of new products and the new organisational structure being introduced as part of the Vetrnica project, and to put the new values into practice.
  • On 10 February, the company VIZ recorded its thousandth policy concluded online. On 12 February, it took part in the Sales Summit event of the Finance newspaper's Business Academy, presenting how consumer behaviour patterns and the online sales channel shape product design, the sales process and messaging.
  • On 19 February, the company VIZ launched a mobile website which, in addition to enabling policies to be taken out, also offers visitors useful information, such as safe driving tips, what to do in the event of a traffic accident, and the WIZ blog.
  • At an event held by Moje finance magazine for the best mutual funds marketed in Slovenia, KD Skladi received recognition for best-managed money market fund – KD MM – for both the three-year (2010–2012) and five-year (2008–2012) periods.
March
  • On 18 March, the Management Boards of Adriatic Slovenica and KD Življenje concluded a demerger agreement with the transfer of assets, to bring the two companies together and transfer the life insurance portfolio to Adriatic Slovenica. The General Meetings of both companies approved the agreement on 21 March, and on 15 April the companies also submitted a request to the Insurance Supervision Agency for authorisation of the planned merger procedures.
  • On 7 March, the Supervisory Board of Adriatic Slovenica reviewed and approved the Management Board's proposed business policy and financial plan for 2013.
  • Adriatic Slovenica began actively marketing Zdravje AS – critical illness and surgery insurance – through its call centre.
  • In early March, Adriatic Slovenica and the insurer KD Življenje began marketing a new life insurance product, Življenjski kasko – Asistenca življenja, with risk underwritten by the sister insurer KD Življenje. This insurance provides comprehensive insurance protection in the event of unforeseen life events, and, on favourable terms, can also be combined with additional cover offering increased protection for permanent disability, an accident annuity, a sum insured for bone fracture, renewed supplementary child accident insurance, and additional DNK Nutri cover.
  • In 2012, the majority of insurance premium receivables (around 30,000 cases) were assigned for consideration to the company Prospera. Among the significant business events of 2013, Prospera lists the completion of notifying courts and debtors about the assigned insurance premium receivables. The parent company began the notification process in March 2013 and completed it in September 2013.
  • Due to requirements of the international reinsurance market, Adriatic Slovenica added a sanctions clause to all property insurance policies. Its purpose is to notify policyholders that the insurer has no obligations if paying out a claim would expose the insurer to any sanctions, prohibitions or restrictions under United Nations resolutions or breaches of EU laws and regulations.
  • The company AS Osiguranje from Belgrade concluded a sponsorship agreement with the Olympic Committee of Serbia. This gave it exclusive status and the right to carry out marketing activities as part of its business, with a particular focus during the 2016 Summer Olympic Games in Rio de Janeiro.
  • The company KD Skladi won the Trustedbrand award for the sixth consecutive time (2008–2013) as the most trusted brand in the Investment Companies and Mutual Funds category. The award reflects the trust placed in funds managed by KD Skladi among Slovenian consumers and readers of Reader's Digest magazine.
  • The Supervisory Board of KD Skladi appoints Casper Frans Rondeltap as a new member of the company's Management Board for a period of four years.
April
  • On 5 April 2013, KD Group received a decision from the Insurance Supervision Agency (hereinafter: AZN), in which the AZN granted the request of KD Group and KD to extend the deadline for remedying breaches, originally set at 12 April 2013, by nine months – i.e. until 12 January 2014. In the course of supervising the KD–AS financial conglomerate, the AZN had, on 11 April 2012, issued an order to KD Group and KD to remedy a breach, since, based on the calculation of capital and supplementary capital requirements at the level of the KD–AS financial conglomerate, KD Group and KD showed lower capital at the conglomerate level than the capital requirements calculated in accordance with the regulations.
  • Due to an amendment to the Regulation on co-financing premiums for crop insurance and market needs, Adriatic Slovenica prepared a new price list for crop insurance and introduced the option of insurance with a lower, 15% deductible. It also increased certain minimum sums insured for specific types of crops.
  • On 18 April, the company VIZ offered users the WIZ Wizard, which, based on answers to a few simple questions, suggests suitable cover for car insurance.
  • The company KD Skladi began marketing a new, very cost-effective savings product: three fund packages, each combining several funds in pre-determined ratios designed around the savings goal: Moje sanje (My Dreams), Popotnica za življenje (A Send-off for Life), and Situirana jesen (A Comfortable Autumn).
  • The 19th Kapital 2013 financial fair, an event for setting and achieving financial goals sponsored among others by KD Skladi, was held at Cankarjev dom in Ljubljana. Fund managers gave talks on the situation in the financial markets and how to make the most of future trends.
May
  • Ahead of the boat insurance season, Adriatic Slovenica renewed its Boat Insurance Premium Price List, adjusting certain premium rates and raising minimum deductibles.
  • In May, Adriatic Slovenica launched a project in health insurance to control the guarantee status of health insurance policies. As part of this project, payment verification for valid health insurance policies was established via the KZZ online system.
  • On 24 May, at the 51st meeting of the Supervisory Board of Adriatic Slovenica, members were informed of the resignation of Management Board member Matej Cergolj. He will continue to perform his role on the Management Board until the expiry of his 6-month notice period, until 24 November 2013. After leaving the Management Board, he will focus on risk management at the insurer.
  • On 25 May, more than 700 colleagues from all companies in the KD Group, from Slovenia and abroad, gathered in Ankaran for the 21st traditional sports and social gathering organised by the sports and cultural association Pravi Asi, operating within Adriatic Slovenica, and competed in various sporting events. The employee gathering helps to strengthen a shared corporate culture and improve cooperation among employees at work.
  • On 27 May, Adriatic Slovenica launched one of its most important development projects of 2013 on the market. The insurer now designs car insurance tailored to the customer, and also sets premiums based on the risk profile of individual smaller policyholder segments, taking into account numerous factors, including the driver's age and place of permanent residence. It also offered customers new covers, such as Urbani kasko for safe and experienced drivers, and Totalka AS cover, which applies exclusively to total loss and whose premium is only a third of a full comprehensive insurance premium. The insurer reduced the premium for AO+ driver insurance for bodily injury damages arising from a traffic accident by 20%.
  • On 8 May 2013, the company KD Skladi, in cooperation with the American investment bank Jefferies, organised a professional seminar on Central and Eastern Europe (CEE) at Ljubljana Castle. It was attended by more than 40 domestic and foreign institutional investors, primarily representatives of insurers and pension companies.
  • The company KD Skladi held a free lecture for investors in Ljubljana and Maribor titled "The Situation on the Financial Markets and How to Make the Most of Future Trends".
June
  • On 14 June, Adriatic Slovenica held the closing event in Koper for the 4th "Write a Poem About Clean Seas" competition. The competition winner was Vanja Kovač, a 5th-grade pupil from a primary school in Vače, who won a day at the seaside with her classmates as her prize. Through this annual competition, we invite pupils and schools to reflect on the environment and to be creative. This year, 60 primary schools and as many as 289 pupils took part.
  • The Supervisory Board of KD Skladi appoints Luka Podlogar, an existing Management Board member, as the company's new President of the Management Board, effective from 2 July 2013 until the end of his term of office on the company's Management Board, and notes that Casper Frans Rondeltap took up his four-year term as a Management Board member on 17 June 2013.
  • On 19 June, the Management Board of Adriatic Slovenica approved a new supplementary health insurance product for cancer risk with staged payouts, ONA AS ZDRAVJE. The insurance is aimed at women aged 18 to 55 and comprises three covers: cover for the diagnosis of female cancer, cover for the diagnosis of other forms of cancer, and a death benefit.
  • In June, Adriatic Slovenica and the insurer KD Življenje began marketing Fondpolica POTENCIAL PLUS, a death and survival life insurance product in which the policyholder bears the investment risk. It offers the policyholder more favourable entry into the Dynamic Commodity Index, capital protection and return lock-in, as well as the option to continue the insurance in the event of the insured person's death. On maturity, at least 90% of the funds paid in are paid out. Funds accrue as though the agreed instalment premium had been paid in a single lump sum at the start of the insurance, and the product also includes locking in of achieved returns.
  • On 30 June, following a request from the Insurance Supervision Agency, insurers stopped offering death-risk cover for children under the age of 14, and Adriatic Slovenica accordingly excluded this cover from new insurance offerings for this age group.
  • The insurer Adriatic Slovenica launched a successful campaign for taking out long-term school accident insurance. Following a decision of the Slovenian Market Inspectorate, in order to ensure equal opportunities, it also made accident insurance available to persons with depression, anxiety disorders and intellectual disability.
  • On 26 June, through its subsidiary AS Neživotno osiguranje a.d.o. Belgrade, Adriatic Slovenica offered the option to take out travel health insurance and AS Direct roadside assistance online. AS Direct brings a range of benefits not previously available on the Serbian market: the policy can be concluded on any mobile device via www.as-direct.rs, payment can be made by credit card, and, as an additional benefit, payment is also possible via mobile banking and SMS for all Telekom Srbije network users. Policyholders receive their policy by email. As part of the roadside assistance, an assistance package called Moj Grad was prepared for urban drivers, and Moja Srbija for drivers who spend more time on the road.
  • At the company Prospera, improvements to IT support in June enabled work to begin on premium collection case files.
July
  • On 15 July 2013, KD Group d.d. received a decision of the Constitutional Court concerning the constitutional appeal filed against the judgment of the Supreme Court. The Constitutional Court decided not to accept for consideration, i.e. to reject, the constitutional appeal against the Supreme Court's judgment of 22 January 2013, which had annulled the resolution on the allocation of net profit for 2007.
  • Adriatic Slovenica prepared a new premium price list for machinery breakdown insurance and precise rules for determining premium increases or decreases based on claims experience (a bonus/malus system). To make it easier to determine the bonus/malus for individual customers, the CRS – Central Customer Register application was upgraded.
  • On 1 July, Klub KD plus, aimed at providing benefits to customers of companies within the KD Group, was relaunched and renamed AS Klub ugodnosti, as it was taken over for management by the insurer Adriatic Slovenica, one of its founding members.
  • On 9 July, the company VIZ offered customers who had rated the company highly and recommended WIZ insurance to others the chance to claim a EUR 20 voucher, redeemable at all Petrol filling stations.
  • At the end of July, a storm affecting mainly central Slovenia caused significant property damage, particularly to house roofs and cars. The insurer Adriatic Slovenica paid out approximately one million euros to policyholders to cover the damage.
August
  • On 29 August 2013, the 18th General Meeting of shareholders of KD Group d.d. was held, at which, among other things, a resolution was adopted extending the term of office of existing Board of Directors members Matjaž Gantar, Sergej Racman, Aleksander Sekavčnik, Tomaž Butina, Aljoša Tomaž and Gabrijel Škof for a new four-year period, beginning on 17 November 2013. The 18th General Meeting also adopted a resolution to reduce share capital through the cancellation of preferred participating cumulative shares with the ticker KHDP, and an amendment to the articles of association reflecting the reduction of share capital. As a result of the reduction of share capital through the cancellation of preferred shares, each holder of preferred shares will, instead of a cash payment, receive one newly issued bond per preferred share, issued by KD Group d. d., with a nominal value of EUR 20.00.
  • On 20 August, the company VIZ redesigned its section on Avto net, the most-visited vehicle sales web portal, which now, in addition to a banner, also includes dynamic content (the WIZ blog and WIZ Wizard).
September
  • The insurer Adriatic Slovenica was the first in Slovenia to offer, as part of its Zdravstvena asistenca AS service, two new health insurance products: transitional care insurance due to illness or accident, and transitional care insurance due to accident. These insurance products complement, in particular, existing personal insurance (health, life and accident insurance), and cover home help, transport to check-ups, and transport to chemotherapy sessions to the extent set out in the relevant insurance package – mini, opti or maxi.
  • Adriatic Slovenica offered a rich range of broad accident insurance cover for preschool children, schoolchildren, secondary school and university students, with a range of benefits, an additional discount for taking out the policy online or by mobile phone, and an attractive prize competition.
  • On 6 September, the insurer Adriatic Slovenica organised its traditional charity golf tournament for business partners at the golf course in Smlednik. Through their participation, tournament participants contributed to the purchase of a new defibrillator, which will be installed at a high-traffic location in Ljubljana as part of the iHELP project.
  • On 17 September, the Insurance Supervision Agency issued a decision authorising the demerger, with the transfer of assets from the transferring company KD Življenje, taken over by the acquiring company Adriatic Slovenica. The transfer of assets from the transferring company KD Življenje means, among other things, the transfer of all insurance contracts to the acquiring company.
  • On 17 September, the insurer Adriatic Slovenica took 1st place in the mobile applications category at the "WEBSI Web Champions 2013" competition for its AS POLICA project, which enables as many as three types of insurance to be taken out via mobile phone. The company VIZ took 2nd place in the business website category, and by the end of September as many as 79% of WIZ policyholders had renewed their policy, demonstrating a high level of policyholder satisfaction.
  • In September, Adriatic Slovenica carried out an extensive marketing campaign to promote the take-up of supplementary health insurance among young people, supported by an advertising campaign and an attractive prize competition.
  • Adriatic Slovenica completed a project to renew the insurer's overall visual identity, one of the key elements of the company's brand recognition. Adriatic Slovenica's new visual identity is fresh and simple, conveying openness and modernity, while retaining all the elements of the company's brand recognition.
  • On 24 September, the Supervisory Board of Adriatic Slovenica appointed Varja Dolenc, M.Sc., as a member of the Management Board. She will take up the role once she obtains authorisation from the Insurance Supervision Agency, and will begin working at the company on 1 December 2013, initially as an advisor to the Management Board for finance and accounting, and, once she quickly obtains the licence to become a Management Board member, as a member of the Management Board.
  • The KD Skladi fund management team prepares quarterly fund portfolios, showing their proposed allocation of assets among the sub-funds of the KD Umbrella Fund, prepared in advance for three types of investors according to their risk appetite: cautious, balanced and dynamic.
  • KD Skladi organise a major online prize competition, Vse = mogoče! (Everything = Possible!), with a main prize of EUR 10,000, in the hope of helping to make people's life dreams come true.
October
  • On 1 October, the demerger of assets from the transferring company KD Življenje, zavarovalnica, d.d., through the transfer of the demerged part to the acquiring company Adriatic Slovenica Zavarovalna družba d.d., was recorded in the court register. With effect from 1 October, Adriatic Slovenica thus entered into all legal relationships arising from KD Življenje's concluded insurance contracts. All KD Življenje policyholders received a special magazine, "New Dimensions of Security", about the transfer of KD Življenje's life insurance business to Adriatic Slovenica. As the acquiring company, Adriatic Slovenica increased its share capital as a result of taking over the demerged assets of the transferring company KD Življenje d.d. and in order to provide shares to shareholders of the transferring company. Share capital increased from EUR 40,338,758.14 by EUR 2,660,771.66 to EUR 42,999,529.80, through the issue of 637,627 new no-par-value shares. The registration of the increased share capital was carried out at the same time as the registration of the demerger with the transfer of assets, i.e. on 1 October 2013. The increase in share capital was reviewed by an external auditor in accordance with the third paragraph of Article 588 of the Companies Act (ZGD-1).
  • On 1 October, Miloš Milivojevič was appointed Executive Director for Claims at the insurer Adriatic Slovenica.
  • Following the registration of the merger of the life insurance portfolio of the insurer KD Življenje into Adriatic Slovenica, all combined financial statements and reports were prepared in line with the planned activities. An interim external audit was also carried out as at 30 September 2013.
  • On 14 October, Adriatic Slovenica launched a new investment-linked life insurance product on the market, Aktivna renta AS, offering policyholders a guaranteed pension, a scholarship for children, or an annuity for a set period. The greatest advantage of the insurance is that the insurer continues paying the premium in the event of the policyholder's death, unemployment, long-term incapacity for work or disability, along with payment of the sum insured in the event of a critical illness or accident.
  • In October, Adriatic Slovenica introduced a simple way to calculate and enter the minimum premium per policy into the INIS information system. It defined the rules and procedure for applying the minimum premium adjustment per policy when drawing up property insurance policies.
  • In October, Adriatic Slovenica prepared an interesting prize competition for policyholders with supplementary health insurance, offering them a year of free transitional care insurance and attractive gifts. At the same time, it presented a benefit specially prepared for them when taking out car insurance.
  • Throughout October, a no-entry-fee campaign for all KD Skladi funds ran exclusively for members of the AS Klub ugodnosti, extended until the end of 2013.
November
  • On 4 November, the Vse = mogoče! prize competition at KD Skladi concluded, with winner Jernej Slivnik receiving the main prize, a cheque for EUR 10,000, to help fulfil his dream of "qualifying for the 2018 Winter Paralympic Games on a mono-ski".
  • KD Group d.d. received a notice from the Securities Market Agency stating that, in fulfilling the resolution of the 18th General Meeting on the reduction of share capital through the cancellation of preferred participating cumulative shares with the ticker KDHP, submission of a prospectus for the public offering of bonds is not required. As obtaining the above information had been set as a condition precedent for the adopted resolution to take effect, that condition was fulfilled on 6 November 2013, and the resolution accordingly took full effect.
  • On 8 November 2013, the members of the Board of Directors of KD Group d.d. adopted a resolution appointing, for the next four-year term of office, Matjaž Gantar as Chairman of the Board of Directors, Aleksander Sekavčnik as Deputy Chairman of the Board of Directors, and Aljoša Tomaž, Gabrijel Škof, Willem Jacob Westerlaken and Matija Šenk as Executive Directors. The term of office of the Chairman, Deputy Chairman and Executive Directors began on 17 November 2013.
  • On 15 November 2013, KD Group d.d. received a decision from the District Court in Ljubljana recording the reduction of KD Group's share capital. Payment to shareholders will be made, in accordance with the resolutions of the 18th General Meeting of shareholders, after the expiry of the statutory six-month period from the publication of the registration of the resolution on the reduction of share capital, and once creditors who report their claims in time have been guaranteed repayment or security for their claims. Following registration of the reduction of share capital in the court register, KDD deleted shares with the ticker KDHP from the central securities register, and the shares were withdrawn from the organised market on the Ljubljana Stock Exchange.
  • On 19 November 2013, KD Group d.d. publicly disclosed information on the new KDH3 bond issue under the title "Terms of Issue of KDH3 Bonds and Other Information on KDH3 Bonds of Issuer KD Group, finančna družba, d.d." The bonds will be issued to holders of preferred participating cumulative shares with the ticker KDHP, in accordance with the resolution on the reduction of share capital.
  • The insurer Adriatic Slovenica listened to its customers' wishes and, for car insurance, introduced the option of taking out additional comprehensive cover with a bought-down deductible. The Dom AS property and household contents insurance was enhanced with several new combinations of accident cover.
  • On 6 November, the Supervisory Board of Adriatic Slovenica appointed Matija Šenk as a member of the Management Board; he will take up the role once he obtains authorisation from the Insurance Supervision Agency. He will begin working at the company on 1 January 2014, initially as an advisor to the Management Board. With more than 17 years of insurance experience, he will be responsible at the insurer for claims, risk management, actuarial activities, strategic reinsurance, and fraud prevention and detection.
  • On 11 November, gale-force winds in the Gorenjska, Štajerska, Notranjska and Primorska regions caused a great deal of property damage. The storm caused Adriatic Slovenica's policyholders approximately half a million euros of damage, mostly to property and vehicles.
  • Employees at Adriatic Slovenica took part in a KD Fundacija charity campaign collecting children's jumpers, hats, gloves, scarves and jackets for the children and young people of the Malči Beličeve Youth Home. Employees at all branches collected a substantial quantity of clothing, which was handed over to the children at the December St Nicholas's Day event.
  • The insurer Adriatic Slovenica renewed its ONA AS ZDRAVJE and ON AS ZDRAVJE insurance products, bringing them closer to policyholders' needs. The renewed products now include staged payouts, i.e. the option of multiple payouts up to the agreed sum insured in the event of female/male cancer. The insurance now also allows for payouts in the event of other forms of cancer, as well as payouts in certain cases of pre-cancerous changes. In addition, policyholders were offered an extra benefit – a health bonus with a 15% payout of premiums paid on maturity of the policy, if no insured event occurred during the term of the insurance.
December
  • On 12 December, Adriatic Slovenica's representative office in Ravne na Koroškem, where policies are taken out and claims are assessed, began operating from new, more modern premises.
  • On 17 December, at its traditional annual meeting for coastal-region journalists and national media correspondents at the company's head office in Koper, Adriatic Slovenica presented its 2013 business results, having consolidated its position in second place on the Slovenian insurance market, along with its plans for 2014. It also presented its partnership with the life-saving iHELP project and familiarised journalists with basic resuscitation procedures.
  • Adriatic Slovenica renewed its travel health insurance with assistance (ZZTA) and, together with a foreign partner, launched a new Multirisk travel insurance product. It became the first insurer to offer ZZTA cover as part of a car insurance policy, aimed in particular at people who travel abroad frequently for business or personal reasons.
  • In December 2013, Adriatic Slovenica began selling the ZASE insurance package via direct mail. The package comprises death-benefit life insurance with additional cover for accidental death, death in a traffic accident, permanent disability due to accident, and bone fracture; transitional care insurance due to accident or illness can also be added.

  • The associated company Žičnice Vogel Bohinj becomes a subsidiary, as KD Kapital acquires an additional 4.90% interest.
May
  • KD Group and KD IT sell their 90.26% interest in KD Životno osiguranje to Adriatic Slovenica, which thereby becomes its 100% owner.

  • KD Group acquires a 22.26% interest in ZIF VIB fond, carrying an equal share of voting rights, making ZIF VIB Fond an associated company of the KD Group.

Other significant events in 2014

January
  • On 14 January 2014, KD and KD Group received a decision from the Insurance Supervision Agency establishing that the KD–AS financial conglomerate, which had been identified in the Insurance Supervision Agency's decision of 22 September 2010, ceases to exist. Already in 2012, the KD Group had made a strategic decision to reduce activities falling, under the Financial Conglomerates Act, within the banking and securities market sectors, below the threshold at which the KD Group would no longer meet the conditions for being classified as a financial conglomerate. In implementing this strategy, KD Banka was sold in full, and the KD Group reduced its interest in Deželna banka Slovenije below 20%, as a result of which the KD Group ceased to meet the conditions and criteria for a financial conglomerate.
  • To optimise operations and adapt to market conditions, and in accordance with a decision of the Romanian regulator (FSA), a decision was taken to transfer the KD Maximus fund from the Romanian company KD BC Management S. A., Bucharest, to the management company SAI Certinvest S.A.
  • In line with amendments to pension legislation, Adriatic Slovenica prepared a collective and individual pension plan for voluntary supplementary pension insurance for the savings period, together with management rules and investment policy statements, and submitted them for approval to the Insurance Supervision Agency (AZN) and the Ministry of Labour of the Republic of Slovenia.

  • On 13 January, having received AZN authorisation to serve as a member of the Management Board, Varja Dolenc, M.Sc., took up her role on the Management Board of Adriatic Slovenica. On the insurer's Management Board, she is responsible for finance, accounting, treasury and controlling.

  • On 30 January, the Management Board of Adriatic Slovenica also formally became a four-member board. On 30 January, Matija Šenk received authorisation from the AZN to serve as a member of the Management Board. On the Management Board, he is responsible for claims, risk management, actuarial activities, strategic reinsurance, and fraud prevention and detection.

February
  • At the Moje finance magazine awards for the best mutual funds of 2013, the company KD Skladi received the most prestigious accolade for best Slovenian management company, while the title of best fund manager was awarded to Primož Cencelj of KD Skladi. KD MM was also recognised as the best money market fund over three- and five-year periods, along with KD Balkan as the best Balkan equity fund over the past five years.
  • On 1 February, large parts of Slovenia, particularly the Notranjska, Koroška, Savinjska and Šaleška valley regions, were hit by an ice storm, causing significant damage, especially to forests, the electricity grid, telecommunications infrastructure, railways and roads, as well as some damage to policyholders' property and vehicles. Based on an estimate from the first claims received, Adriatic Slovenica's policyholders reported EUR 750,000 in damage. Remedying the effects of the ice storm will take a long time, as approximately 40% of Slovenian forests were destroyed, and repairing the electricity grid will likewise be a lengthy process. In Notranjska, flooding of the Planina Field also caused some minor problems.

March
  • Following the completed European Trusted Brand 2014 survey, the company KD Skladi was named the most trusted brand in the Investment Companies and Mutual Funds category for the seventh consecutive year.

  • On 12 March, Adriatic Slovenica became general sponsor of the "500 Businesswomen" event in Ljubljana, offering the target group of small businesses property insurance, life insurance for businesswomen, and pension insurance for employees.

April
  • In April, the insurer Adriatic Slovenica began equipping all regional centres with defibrillators. These are installed at the busiest locations in towns or places identified by the relevant municipality as being most in need. By the end of June, 11 defibrillators had been installed (two in Ljubljana, and one each in Koper, Novo mesto, Kranj, Maribor, Celje, Postojna, Murska Sobota, Grgar and the Volčji Potok Arboretum). As part of the partnership with the iHELP project, training in basic life support is organised for employees across the KD Group.

  • On 25 April, Adriatic Slovenica informed the public that, from 1 June 2014, it would reduce the supplementary health insurance premium. The new monthly premium, with a 3% discount, will be EUR 27.49 (previously EUR 28.50), and without the discount EUR 28.34 (previously EUR 29.38). All supplementary insurance policyholders were also offered a range of other benefits.
May
  • On 16 May 2014, KD Group issued 215,107 bonds with the ticker KDH3. They were issued and registered with KDD – Centralna klirinško depotna družba, d.d., Ljubljana, in the name of all shareholders of the company recorded in KDD's share register as holders of KDHP preferred shares as at 15 November 2013, with the exception of KD Group itself as holder of its own preferred treasury shares.

  • The companies KD Skladi and Adriatic Slovenica prepared a joint promotional offer, the Savings Package. New savers who take out a fund package at a KD Finančna točka branch receive, in addition to an extra payment of EUR 20.00 into the fund package, a voucher worth up to EUR 40.00 towards car insurance with Adriatic Slovenica.

  • The company KD Skladi received a decision from the Securities Market Agency granting it authorisation to provide portfolio management services in financial instruments and authorisation to provide ancillary services (investment advice relating to financial instruments, and safekeeping and administrative services relating to investment fund units).

  • In May, Adriatic Slovenica was involved in handling a major fire damage claim for a policyholder of its sister company AS neživotno osiguranje in Serbia. A major fire at a medical equipment company destroyed warehouse space and part of the business premises, with total damage exceeding EUR 3 million.

  • Employees across the KD Group joined the AS Fundacija charity campaign to collect material and financial aid for those affected by flooding in Serbia and Bosnia and Herzegovina.

June
  • On 24 June 2014, KD Group received a decision from the Securities Market Agency approving the prospectus for the admission of 215,107 bonds with the ticker KDH3 to trading on the organised market.

  • The first issue of Optimum, a new informative and advisory magazine for KD Skladi investors, was published. It is aimed at investors in various life situations who are seeking answers to financial questions and advice on investing their assets.

  • To mark the KD Group's 20th anniversary, the companies KD Skladi and Adriatic Slovenica organised an Olympic Day at the Volčji Potok Arboretum – a get-together with top Slovenian athletes for employees, customers and contractual partners. On the same day, Adriatic Slovenica also organised a charity golf tournament for business partners. Participants at both events were able to contribute to the Podari.malico charity project, which raises funds for school snacks and lunches for children from socially disadvantaged backgrounds.

  • The company Viz d.o.o., which offers convenient online car insurance through the portal www.wiz.si, marked its second successful year of operation in June. Business figures show that the company is even exceeding its planned business targets, and users rate the user experience as excellent.
July
  • On 2 July 2014, 215,107 bonds issued by KD Group d.d., with a total nominal value of EUR 4,302,140.00 and the short ticker KDH3, were admitted to the Bond Segment of the stock market. The first day of trading was 2 July 2014.
August
  • The 21st General Meeting of shareholders of KD d. d. was held on 28 August 2014; among other matters, it was informed of the letter of resignation of Board of Directors member Sergej Racman and, effective as of the date of the General Meeting, appointed Katarina Valentinčič Istenič as a member of the Board of Directors for a term of office until 17 November 2017, when the term of office of the existing members of the Board of Directors of KD Group d.d. expires. The General Meeting also adopted a resolution authorising the Board of Directors to acquire treasury shares.

  • To improve oversight of spending under supplementary health insurance, Adriatic Slovenica carried out an audit at the four largest healthcare service providers in Slovenia.
September
  • In mid-September, heavy rainfall hit the eastern part of the country, causing flooding in the Mura and Kolpa river basins, and, to a lesser extent, in the Savinja, Pakа and Sava river basins. River flows rose rapidly, and the rainfall triggered numerous landslides. Most of the damage was caused by flooded buildings and landslides, which together caused Adriatic Slovenica's policyholders approximately EUR 600,000 in damage.

  • Krog varnosti (Circle of Security) is an umbrella marketing campaign through which Adriatic Slovenica tells customers that, by completing the full circle of security – property, health and life insurance with AS – they can make significant savings. The campaign also communicates the results of the 2014 Insurance Monitor survey, in which AS ranked as the insurer with the highest proportion of very satisfied policyholders. As part of the umbrella campaign, the Super AS Jesen (Super AS Autumn) promotion is also running, offering significant savings on taking out or renewing car insurance, and ending at the close of 2014.
October
  • With effect from 1 October 2014, AS neživotno osiguranje appointed a new General Manager, Aleksandar Mitrović, who had previously served as director of the company's Belgrade business unit.

  • The company Prospera acquired from its parent company established subrogation claims as at 31 August 2014 with a gross value of EUR 2,365,194.22, at an assignment price of EUR 984,119.89, and premium receivables as at 31 August 2014 with a gross value of EUR 1,183,006.67, at an assignment price of EUR 285,272.90.
November
  • On 21 November 2014, KD Group d.d. published the credit rating it received from the rating agency Fitch Ratings. Fitch Ratings assigned KD Group a credit rating of "BB-" and assigned Adriatic Slovenica, zavarovalna družba, d.d., KD Group's largest subsidiary, an insurer financial strength rating of "BBB-". The rating outlook was defined as "stable". The rating reflects a strong position in the Slovenian insurance and asset management markets, as well as adequate capitalisation.

  • On 28 November, around 1,300 employees, contractual partners and friends of all companies within the KD Group, which celebrated its 20th anniversary in 2014, gathered at the parent company's anniversary event. In the spirit of the values shared by all companies in the Group, the event strengthened momentum towards achieving future goals.

  • For the second consecutive year, the company KD Skladi organised the Vse=mogoče! (Everything=Possible!) prize competition. The competition offers the winner EUR 10,000 to bring their idea to life, EUR 5,000 in advertising on Radio Center, and tuition fees for the first year of undergraduate study on the Entrepreneurship programme at Gea College. The competition received 670 entries. Entrant teams developed their project proposals, shared them on KD Skladi's Facebook page, and collected badges and likes. From all the ideas submitted, an eight-member jury selected six of the most original projects, with the public then deciding the winner through online voting. The Vse=mogoče! competition was won by the Calypso project, a submarine built by students of Gimnazija Vič for the purpose of exploring the Slovenian sea.

  • KD Group d.d. signs an agreement for the purchase and sale of a 100% interest in Gea College, d.d., poslovno izobraževanje, Ljubljana.

  • The financial conference "On the Challenges and Opportunities of the Financial Markets" was held, organised by the KD Group together with the Finance newspaper to mark the Group's 20th anniversary. Distinguished speakers included Matjaž Gantar, Chairman of the Board of Directors of KD Group; Mitja Gaspari, former Minister of Finance and Governor of the Bank of Slovenia; Boštjan Vasle, Director of UMAR; economist Veljko Bole; Gabrijel Škof, President and member of the Management Board of AS; Willem Jacob Westerlaken, member of the Management Board of AS; Aljoša Tomaž, Chief Executive Officer of KD Group; and Luka Podlogar, President of the Management Board of KD Skladi.

  • KD Skladi obtains authorisation from the Securities Market Agency to manage cover assets for life insurance and part of the non-life insurance business of the insurer Adriatic Slovenica, d.d., with a total value of EUR 120 million.

March

  • On 24 March 2015, KD Kvart established the company Projektor d.o.o.
  • KD Group completed the process of selling GEA College d.d.; on 18 March 2015, once the conditions of the sale and purchase agreement had been fulfilled, it transferred all shares of GEA College to the buyer FT in Partnerji d.o.o. of Ljubljana.

May

  • The company KD Skladi acquired a 60% interest in KD Locusta Fondovi d.o.o., carrying an equal share of voting rights, making KD Locusta Fondovi a subsidiary of the KD Group.

June

  • On 22 June 2015, KD Kvart acquired a 30% interest in Medium Media d.o.o., which thereby became an associated company of the KD Group.
  • KD Kapital acquired a 37.32% interest in Radio Kranj and, together with its existing 90% interest and the remaining 10% treasury interest of Radio Kranj itself, became the 100% owner of the company. In the same month, KD Kapital sold its entire business interest in Radio Kranj.

September

  • KD Kapital acquired a 0.05% interest in Žičnice Vogel, thereby becoming the 50.05% owner of the company.
  • KD Kapital's interest in SRC d.o.o. was reduced to 35.26% due to a capital increase by the other shareholders.
  • Through the demerger of TOVARNA OLJA GEA, d.d., a new company, KR d.d., was created, 26.90% owned by the KD Group. KR d.d. is an associated company of the KD Group.

  • On the basis of an agreement concluded on 28 September 2015 with RRC Računalniške storitve, d.d., KD Kapital received, on 18 November 2015, payment for its entire 50.05% interest (499,513 shares) in Žičnice Vogel Bohinj.

December

  • The registration of the merger of the subsidiary KD Životno osiguranje into the parent company Adriatic Slovenica was recorded in the court register on 30 December 2015. The insurer KD Životno osiguranje ceased to operate as an independent legal entity, and its business in Croatia now continues through the Zagreb Branch.

  • On 16 January 2015, Adriatic Slovenica obtained the basic Family-Friendly Company certificate and prepared an action plan to improve work processes and the quality of the working environment, to achieve a better balance between professional and private life. Obtaining the basic certificate, and plans to build on it further, reflect the insurer's positive attitude towards the needs of employees arising from family life.
  • Adriatic Slovenica became the exclusive provider of personal insurance products with the start of insurance sales at Pošta Slovenije branches.
  • On 29 January 2015, Adriatic Slovenica recapitalised its subsidiary KD Životno osiguranje with a payment of EUR 396,492.

February

  • On 23 February 2015, KD Group concluded a long-term syndicated loan agreement, approved by a banking syndicate comprising Nova Ljubljanska banka, d.d. (also acting as arranger and agent), Abanka Vipa d.d., Gorenjska banka, d.d., Banka Celje d.d., and Nova kreditna banka Maribor d.d., under which the banks provided KD Group d.d. with a long-term loan with a 7-year term in the amount of EUR 67,013,100. The syndicated loan is intended to refinance the financial liabilities of the KD Group, continuing KD Group's strategy of securing an optimal financing structure for KD Group and the KD Group as a whole, and improving it.
  • On 13 and 14 February, Adriatic Slovenica held its key event for its own sales network in Portorož, the seventh annual sales conference, attended by more than five hundred participants.
  • Adriatic Slovenica established a branch in Croatia – Adriatic Slovenica d.d., Podružnica Zagreb (hereinafter: the Zagreb Branch).
  • At the Moje finance magazine awards for the best mutual funds of 2014, the company KD Skladi received the most awards of any company, winning as many as 9 of the 29 accolades presented. Funds awarded the top rating (five stars) were: KD RASTKO, best fund of the past three years in the equity – European category; KD NOVI TRGI, best fund of the past three years in the equity – emerging markets category; KD MM, best fund of the past five years in the money market – euro category; KD VZHODNA EVROPA, best fund of the past three and past five years in the equity – European emerging markets category; KD INDIJA - KITAJSKA, best fund of the past three and past five years in the equity – Asia and Oceania category; and KD BALKAN, best fund of the past three and past five years in the equity – Balkans category.

  • On 5 March 2015, the international rating agency Fitch Ratings confirmed KD Group's existing credit rating of BB- and Adriatic Slovenica's insurer financial strength rating of BBB-. The rating outlook is "stable". The rating confirmation for KD Group and Adriatic Slovenica was made following the announcement by KD Group of the signing of the long-term syndicated loan agreement approved by the banking syndicate comprising Nova Ljubljanska banka d.d., Abanka Vipa d.d., Gorenjska banka, d.d., Banka Celje d.d., and Nova kreditna banka Maribor d.d.
  • Following the completed European Trusted Brand 2015 survey, the company KD Skladi was named the most trusted brand in the Investment Companies and Mutual Funds category for the eighth consecutive year.

April

  • On 15 April 2015, KD Group successfully completed the issue of bonds with the ticker KDH4, in a total amount of EUR 14,622,000, maturing on 15 December 2021, with an interest rate of six-month (6M) EURIBOR + 5.600%. The bond issue was intended to refinance financial liabilities arising from KD Group's existing obligations. The bonds were issued without publication of a prospectus, pursuant to points 1 and 2 of the first paragraph of Article 49 of the Financial Instruments Market Act.
  • On 3 April 2015, the Board of Directors of KD Group appointed Alenka Pirih as a new member of the Audit Committee, replacing Milena Georgievski, who had resigned from the role.
  • On 15 April 2015, Adriatic Slovenica presented its Podjetnik AS insurance product at the Small and Medium-Sized Enterprises Conference in Ljubljana. The conference was attended by around 120 domestic and foreign entrepreneurs, as well as Prime Minister Miro Cerar. Adriatic Slovenica ran an intensive promotion of the new insurance product and was also a sponsor of the "500 Businesswomen" business event on 18 March 2015.
  • In the "Presentation of Offering" category of the 2015 Analysis of the Slovenian Insurance Industry Online, prepared by E-laborat, the WIZ website of Adriatic Slovenica's subsidiary Viz d.o.o. ranked first.
  • On 21 April 2015, a consortium of sellers, coordinated by KD Skladi and SDH, concluded an agreement to sell 183,386 shares (51.55%) of Žito, d. d. to Podravka, d. d., following successfully concluded negotiations.

May

  • On 15 May 2015, the company KD Skladi received authorisation from the Croatian Financial Services Supervisory Agency (Hrvatska agencija za nadzor financijskih usluga) to acquire a qualifying holding of 60% of the share capital in Locusta Invest, d. o. o., Croatia.
  • On 7 May 2015, Adriatic Slovenica completed a significant project which, using the SPSS tool, established a comprehensive system for detecting and managing fraud in the health insurance segment. A comprehensive analytics platform was set up, forming the basis for the strategic development of business analytics at the insurer. The platform's functionalities are useful across all business areas, not just for fraud detection.
  • On 17 May 2015, the Volčji Potok Arboretum hosted the "Concert in Bloom", organised by Adriatic Slovenica in cooperation with the RTV Slovenija Big Band for partners from complementary sales channels, healthcare providers and external visitors. It was also an opportunity to raise support for talented young musicians studying abroad, supported by companies within the KD Group through the AS Fundacija foundation.

June

  • Adriatic Slovenica received the Marketing Excellence award in the category of large companies operating predominantly in the business-to-consumer (B2C) segment. The award was presented for the first time by the Slovenian Marketing Association as part of the 20th Slovenian Marketing Conference.
  • Adriatic Slovenica organised a series of "Breakfast of the Future" events (in Nova Gorica, Smlednik, Ankaran, and Velenje), aimed at business partners and existing and potential policyholders. Experts presented solutions developed for companies and their employees in the field of pension legislation, offering savings for companies while also providing greater security for employees after retirement.
  • At the 16th regional ICT conference, ICTI 2015, in Osijek, the WIZ website of Adriatic Slovenica's subsidiary Viz d.o.o. received first prize in the category of insurance agency and sales websites.

July

  • On 15 July 2015, KD Group received a decision from the Securities Market Agency approving the prospectus for the admission of 146,220 bonds with the ticker KDH4 to trading on the organised market, and, on 17 July 2015, a decision from the Ljubljana Stock Exchange admitting the bonds to the Bond Segment of the stock market with effect from 17 July 2015, with trading beginning on 17 July 2015.
  • On 23 July 2015, the Commercial Court in Zagreb recorded in the court register the merger of KD Investments, d. o. o., Croatia, into KD Locusta Fondovi, d. o. o., Croatia.
  • At the World Finance magazine awards, the company KD Skladi received the award for Best Investment Management Company, Slovenia 2015 (World Finance Best Investment Management Company, Slovenia 2015).
  • On 18 May 2015, the AS Fundacija foundation published a call for applications for financial assistance for gifted art students in undergraduate or postgraduate study abroad. The two newly selected recipients were jazz double bassist Luka Benčič, admitted to the first year at the Amsterdam Conservatory (Amsterdamse Hogeschool voor de Kunsten), and Max Čelar, a second-year student at one of the most prestigious architecture schools, the Architectural Association, London. Luka and Max thus join many talented scholarship recipients from various fields of the arts who have already completed their studies, or are successfully continuing them, with the support of AS Fundacija.
  • On 27 July 2015, the insurer Adriatic Slovenica signed an agreement with the Government of the Republic of Slovenia on implementing debt forgiveness for the most socially disadvantaged. Under the agreement, Adriatic Slovenica and its subsidiary Prospera treat equally all debtors entitled to have unpaid supplementary health insurance premium debts written off under the Act on the Conditions for Implementing the Debt Forgiveness Measure (ZPIUOD). Once the deadline for submitting applications had passed, processing of applications began after 31 October 2015.

August

  • The 20th General Meeting of shareholders, held on 27 August 2015, among other matters, authorised the company's Board of Directors to acquire treasury shares, in the name and for the account of the company, up to a total number not exceeding 10% of the company's total shares, which, together with the shares the company already held on the date this resolution was adopted, represents 267,564 shares. The company's authorisation to acquire treasury shares is valid for 36 months from the date this resolution was adopted.
  • Following a change in the methodology of the international rating agency FITCH Ratings, KD Group's credit rating was raised to "BB". The rating outlook for the company remains "stable".
  • Adriatic Slovenica provided all drivers with free roadside assistance information via the ASfalt mobile app. It allows users to follow traffic information and conditions on saved routes in Slovenia, locate their parked vehicle even abroad, or tap to quickly call Avto asistenca if they run into trouble on roads at home or abroad. By the end of September, the app had been downloaded more than 6,400 times.
  • The company KD Skladi, together with partners Radio 1 and sister company Adriatic Slovenica, once again organised the Vse=mogoče! competition, with a prize fund worth EUR 20,000 and an additional EUR 3,000 prize for the AS Architecture Challenge.

  • On 11 September 2015, the company Viz received the WEBSI Web Champions 2015 award in the "Business Websites" category for the WIZ website.
  • At the General Assembly of the Croatian Insurance Bureau (Hrvatski ured za osiguranje – HUO) on 25 September 2015, Adriatic Slovenica became a full member of the HUO.

October

  • On 6 October 2015, the international rating agency FITCH Ratings confirmed KD Group's credit rating of "BB" and Adriatic Slovenica's insurer financial strength rating of "BBB-". The rating outlook remains "stable" for both companies.

November

  • On 19 November 2015, the company Viz received a SPORTO award for WIZ insurance in the "Best Personal Athlete Sponsorship" category, for its #resnicnofajn campaign with Filip Flisar, launched in August.

December

  • On 18 December 2015, the Chairman of the Board of Directors of KD Group received a letter from Executive Director Willem Jacob Westerlaken announcing his resignation from the position of Executive Director, effective 31 December 2015.
  • In line with amendments to pension legislation, Adriatic Slovenica was approved to offer a collective and individual pension plan for voluntary supplementary pension insurance, Pokojninsko varčevanje AS, for the savings period, together with management rules and investment policy statements.
  • In cooperation with the Bled Tourist Board and the Olympic Committee of Slovenia, Adriatic Slovenica organised a major event in Bled on 30 December 2015, the Olympic Circle of Security, aimed at promoting the Olympic spirit and supporting Slovenian athletes ahead of their departure for the Rio de Janeiro Olympics in summer 2016. As many as 5,712 visitors formed a human circle around Lake Bled, attempting to set a Guinness World Record for the largest simultaneous lighting of glow sticks.
  • At the end of December, the process of merging the Croatian insurer KD Životno osiguranje into the parent company Adriatic Slovenica was completed; its business in Croatia continues through the Zagreb Branch. As a result, the Zagreb Branch received all the necessary authorisations to operate and sell motor liability policies. At the end of December, the website www.as-direct.hr was launched, through which customers in Croatia can take out motor liability insurance.
  • Adriatic Slovenica ceased conducting insurance business in the Republic of Serbia through its subsidiary AS Neživotno osiguranje and began activities aimed at winding down this subsidiary, expected to be completed in 2016.
  • In 2015, the independent international agency Morningstar began tracking the management excellence of the sub-funds of the KD Umbrella Fund. As many as 5 of the 10 rated sub-funds of the KD Umbrella Fund received either 5 or 4 stars, placing them among the top 10% of funds in their category (5 Morningstar stars) or the next 22.5% of funds (4 Morningstar stars). As at 31 December 2015, the following held 5 or 4 Morningstar stars over a five-year period: KD Balkan, with the best overall rating of 5 Morningstar stars, and KD Prvi izbor, KD Bond, KD Latinska Amerika and KD Vitalnost, each with an overall rating of 4 Morningstar stars.

Changes in the composition of the KD Group in 2016

February
  • On 2 February 2016, KD Group sold its 22.26% interest in the associated company ZIF VIB Fond, Banja Luka. The KD Group therefore no longer holds any financial interest in ZIF VIB Fond.
  • On 5 February 2016, Adriatic Slovenica acquired from KD Kvart a 100% business interest in its subsidiary Atis inženiring, d.o.o., renaming it the same day to ZDRAVJE AS, d. o. o. The company's core activity is specialist outpatient healthcare.
March
  • On 22 March 2016, KD Kvart sold its 30.00% interest in the associated company Medium Media, d. o. o. The KD Group therefore no longer holds any financial interest in Medium Media.
May
  • On 10 May 2016, Adriatic Slovenica, KD Group and KD Kapital sold their 26.90% interest in the associated company KR, d. d. The KD Group therefore no longer holds any financial interest in KR.
July
  • On 7 July 2016, KD Group sold a 90.1% business interest in its subsidiary KD IT, d. o. o. to the insurance company Adriatic Slovenica, making Adriatic Slovenica the holder of a 100% business interest in KD IT.
August
  • On 29 August 2016, Adriatic Slovenica acquired a 100% business interest in KD Skladi, on the basis of the sale and purchase agreement for the business interest in KD Skladi concluded with KD Group on 25 May 2016, and the qualifying holding authorisation issued by the Securities Market Agency.
September
  • On 14 September 2016, KD Kapital sold its 51% interest in VIB, a.d., Banja Luka. The KD Group therefore no longer holds any financial interest in VIB.
November
  • On 14 November 2016, KD Kvart, d. o. o. acquired a 100.00% interest in Agent, d. o. o., Izola.
December
  • On 20 December 2016, KD Kapital sold its 98.92% interest in ABDS, d. o. o., Sarajevo. The KD Group therefore no longer holds any financial interest in ABDS.

Other significant events in 2016

  • At its meeting on 28 January 2016, the Board of Directors of KD Group, d. d. appointed Jure Kvaternik as Executive Director of the company, not a member of the Board of Directors, for a term of office until 16 November 2017. The Board of Directors assigned the new Executive Director Jure Kvaternik responsibility for the areas of finance, accounting and controlling.
  • Adriatic Slovenica successfully adapted its operations to the requirements of Solvency II.
  • Adriatic Slovenica successfully launched the new, modern, secure and fast MOJ AS portal, enabling customers to view their insurance policies, check payments, change their payment method, report a claim and track its progress themselves.
  • On 4 March 2016, KD Skladi and ILIRIKA DZU concluded a Management Transfer Agreement, under which the management of the sub-funds of the ILIRIKA Umbrella Fund was transferred to KD Skladi, družba za upravljanje, d. o. o. On 3 October 2016, the sub-funds of the Ilirika Umbrella Fund were merged into the sub-funds of the KD Umbrella Fund.
  • On 19 April 2016, the Supervisory Board of KD Skladi appointed Luka Podlogar as President of the Management Board for a new four-year term, beginning on 27 July 2016.
  • On 24 May 2016, on the basis of an offer of securities addressed to well-informed investors, Adriatic Slovenica issued bonds with a total nominal value of EUR 50,000,000.00. The bonds, which comply with the provisions of the European Solvency II Directive, are listed on the multilateral trading facility (MTF) of the Irish Stock Exchange's Global Exchange Market (GEM).
  • Following the discontinuation of its sale, AS neživotno osiguranje, a. d. o., Belgrade transferred its insurance portfolio and commenced voluntary liquidation.
  • In August 2016, KD Skladi once again won the prestigious World Finance magazine award for the best asset management company in Slovenia for 2015.
  • The 21st General Meeting of shareholders of KD Group was held on 29 August 2016, at which the shareholders present decided on the use of net profit and the discharge of the members of the Board of Directors, and appointed the auditor for the 2016, 2017 and 2018 financial years.
  • In July and November 2016, the international rating agency FITCH Ratings confirmed a credit rating of BB for KD Group and an insurer financial strength rating of BBB- for Adriatic Slovenica, zavarovalna družba, d. d., Ljubljanska cesta 3a, Koper, KD Group's largest subsidiary. The rating outlook remains "stable" for both companies. The rating reflects a strong position in the Slovenian insurance and asset management markets, as well as adequate capitalisation.
  • Following the resignation of Board member Varja Dolenc from Adriatic Slovenica's Management Board effective 31 October 2016, the Supervisory Board of Adriatic Slovenica appointed Jure Kvaternik as a new member of the Management Board on 27 October 2016, subject to authorisation by the Insurance Supervision Agency.
  • On 23 December 2016, KD Skladi received a decision from the Securities Market Agency granting special investment fund status to the alternative investment fund KD Adriatic Value Fund, a special investment fund to be managed by KD Skladi.
  • Due to several years of rising healthcare service costs and co-payments, and forecasts indicating that co-payments would continue to rise in 2017, Adriatic Slovenica began activities in December 2016 to increase the supplementary health insurance premium. Policyholders were notified that the premium would be higher from 1 March 2017.
  • At the end of 2016, the independent international agency Morningstar awarded 4 or 5 stars to four of the twelve rated sub-funds of the KD Umbrella Fund: KD Vitalnost (5), KD Prvi izbor (5), KD Bond (4) and KD Tehnologija (4).

Changes in the composition of the KD Group in 2017

  • On 27 November 2017, the company Vaš partner d. o. o. was deleted from the register, and is therefore no longer part of the KD Group
  • On 26 December 2017, the company AS Neživotno osiguranje a. d. o., in liquidation, was deleted from the register – it ceased operations and is therefore no longer part of the KD Group.
  • As at 31 December 2017, the companies Sarbon Invest and Kredo Group are no longer included in the Group's consolidation.

  • On 1 January 2017, KD Galileo, the first Slovenian mutual fund, celebrated its 25th anniversary.
  • On 5 January 2017, KD Skladi began marketing a new sub-fund, KD Corporate Bonds, bond fund – EUR.
  • At the 22nd General Meeting of shareholders of KD Group on 9 March 2017, shareholders appointed Matija Gantar as a member of the Board of Directors for a four-year term of office beginning 10 March 2017.
  • On 27 March 2017, the Board of Directors of KD Group adopted the KD Group Governance Code, which the company will use as its reference code. The KD Group Governance Code is published on the company's website www.kd-group.com.
  • On 29 March 2017, the first life insurance offer was signed using the Skleni AS application for concluding life insurance policies. AS thus became the first insurer in Slovenia to enable the immediate acceptance and conclusion of life insurance via a web application.
  • On 14 April 2017, the Supervisory Board of KD Skladi appointed Casper Frans Rondeltap as a member of the Management Board for a new four-year term, beginning on 18 June 2017.
  • On 9 May 2017, the former Kolosej cinema in Maribor received a new visual identity and a new name – Maribox. At a press conference, the company Projektor, which manages the building, also presented the start of the renovation of the building and cinema halls, along with its business results and development plans.
  • The 52nd General Meeting of shareholders of Adriatic Slovenica was held on 30 May 2017. Resolutions were adopted on the allocation of the company's net profit as at 31 December 2016: part of the net profit, in the amount of EUR 10,613,539.21, was allocated for the payment of dividends, while the remaining net profit of EUR 28,807,724.13 remained unallocated. The General Meeting discharged the Management Board and Supervisory Board for the 2016 financial year.
  • At its meeting on 21 June 2017, the Supervisory Board of Adriatic Slovenica adopted Adriatic Slovenica's strategy for the 2017–2022 period, appointed Gabrijel Škof as President of the Management Board for a five-year term from 1 October 2017, and convened a General Meeting of shareholders for 8 August 2017.
  • On 14 July 2017, KD Skladi received a decision from the Securities Market Agency (dated 29 June 2017) authorising it to provide management services for an alternative investment real estate fund.
  • On 17 July 2017, Adriatic Slovenica was issued a decision by the Ministry of Health of the Republic of Croatia authorising it to conduct supplementary health insurance business. This enables Adriatic Slovenica, through its Zagreb branch, to enter the Croatian supplementary health insurance market.
  • The 53rd General Meeting of shareholders of Adriatic Slovenica was held on 8 August 2017. Aljoša Tomaž, Tomaž Butina and Aleksander Sekavčnik were appointed as members of the Supervisory Board of Adriatic Slovenica for a five-year term.
  • The 23rd General Meeting of shareholders of KD Group was held on 31 August 2017, at which the shareholders present discharged the members of the Board of Directors for the 2016 financial year and appointed Matjaž Gantar, Aleksander Sekavčnik, Tomaž Butina, Katarina Valentinčič Istenič, Aljoša Tomaž and Gabrijel Škof as members of the Board of Directors for a new four-year term beginning on 18 November 2017. Shareholders adopted a resolution amending the company's articles of association concerning authorised capital, under which the Board of Directors is authorised to increase the share capital from authorised capital for a period of five years from the registration of the amendment to the articles of association adopted at the 23rd General Meeting, as well as a resolution determining remuneration for members of the Board of Directors, payment or reimbursement of expenses for members of the Board of Directors, and remuneration for members of Board committees.
  • On 1 September 2017, the rating agency FITCH Ratings confirmed a credit rating of "BB" for KD Group and an insurer financial strength rating of "BBB-" for Adriatic Slovenica, zavarovalna družba, d. d., KD Group's largest subsidiary. The rating outlook remains "stable" for both companies.
  • At its meeting on 10 November 2017, the Board of Directors of KD Group again reviewed the strategic direction of the KD Group and, to this end, selected the financial advisor Lazard to seek a strategic investor to acquire a majority interest in Adriatic Slovenica, zavarovalna družba, d. d.
  • At its meeting on 17 November 2017, the Board of Directors of KD Group appointed the Chairman and Deputy Chairman of the Board of Directors, as well as the company's executive directors, for the new term of office beginning 18 November 2017. The Board of Directors appointed Matjaž Gantar as Chairman, Aleksander Sekavčnik as Deputy Chairman, and Aljoša Tomaž as Chief Executive Officer and Zoran Bošković as Deputy Chief Executive Officer of the company.
  • On 29 November 2017, the Supervisory Board of Adriatic Slovenica appointed Jure Kvaternik as a new member of the Management Board, subject to the condition precedent of obtaining authorisation from the Insurance Supervision Agency to perform this role.

Changes in the composition of the KD Group

  • In February 2018, Adriatic Slovenica acquired a 48% interest in Medifit, druge z informacijsko tehnologijo in računalniškimi storitvami povezane dejavnosti d. o. o. In the Group's financial statements, the company is accounted for using the equity method as an associated company.
  • On 18 June 2018, KD IT d. o. o. was deleted from the court register following its merger into the acquiring company Adriatic Slovenica.
  • On 15 May 2018, KD Kapital sold its 25.99% interest in the associated company Mlekarna Celeia, d. o. o., Petrovče. The KD Group therefore no longer holds any financial interest in Mlekarna Celeia.
  • On 2 August 2018, KD Kapital, KD Group and Adriatic Slovenica sold their 26.90% interest in the associated company Tovarna olja Gea, d. d., Slovenska Bistrica. The KD Group therefore no longer holds any financial interest in Tovarna olja Gea.
  • On 22 November 2018, KD Kapital established the company KD IT d. d.

Significant events in 2018

  • On 9 March 2018, KD Group informed the public of the progress of the process to find a strategic partner for the acquisition of a majority interest in its subsidiary Adriatic Slovenica; at its meeting on that date, the Board of Directors of KD Group adopted a resolution to invite selected potential investors to take part in the due diligence process for Adriatic Slovenica. Out of respect for the confidentiality agreements concluded between the company and potential investors, disclosure of information about the investors is not permitted.
  • On 18 March 2018, Matjaž Gantar, Chairman of the Board of Directors of KD Group and Chairman of the Supervisory Board of Adriatic Slovenica, passed away after a long illness.
  • At its meeting on 20 March 2018, the Supervisory Board of Adriatic Slovenica appointed Aljoša Tomaž as Chairman of the Supervisory Board and Aleksander Sekavčnik as Deputy Chairman.
  • At its meeting on 28 March 2018, the Board of Directors of KD Group appointed Aleksander Sekavčnik as Chairman of the Board of Directors and Matija Gantar as Deputy Chairman of the Board of Directors.
  • In March 2018, at the awards ceremony for the Best Mutual Fund Managers in Slovenia, fund manager Primož Cencelj of KD Skladi received the highest accolade in asset management in Slovenia and became Manager of the Year 2017. In the eight-year history of the awards, this was the fifth time a Manager of the Year has come from KD Skladi, with Primož Cencelj himself receiving the award for the third time. The winning mutual funds, rated five stars – the highest rating – for both the three-year and five-year periods in their category, were KD Bond, bond fund – European, and KD Rastko, equity fund – European.
  • KD Adriatic Value Fund, a special investment fund and the first regulated real estate alternative investment fund (AIF) in Slovenia, managed by KD Skladi, completed its first acquisition in Slovenia on Friday, 13 April 2018, in cooperation with Peakside Capital, an international real estate advisory firm – the purchase of the Tivoli Center office building. KD Skladi and Peakside Capital joined forces, combining their knowledge of the local real estate market with global expertise and experience in managing institutional investors' real estate investments.
  • Jure Kvaternik received authorisation from the Insurance Supervision Agency to serve as a member of the Management Board of Adriatic Slovenica and has been a new member of the company's Management Board since 16 April 2018.
  • At its meeting on 25 April 2018, the Board of Directors adopted the audited annual report of the KD Group and of KD Group d. d. for the 2017 financial year.
  • On 23 May 2018, KD Group concluded an agreement with Generali CEE Holding, B. V. for the sale of a 100% interest in Adriatic Slovenica, for a purchase price of EUR 245 million.
  • On 24 May 2018, the international rating agency FITCH Ratings placed KD Group's credit rating of "BB" and the insurer financial strength rating of "BBB-" for the insurer Adriatic Slovenica, zavarovalna družba, d. d., Ljubljanska cesta 3a, Koper, on "Rating Watch", as a result of the announcement of the agreement for the sale of a 100% interest in Adriatic Slovenica.
  • In July, KD Adriatic Value Fund completed its second transaction in cooperation with Peakside Capital – the purchase of the southern part of the Stekleni dvor business complex in Ljubljana.
  • The General Meeting of shareholders of KD Group d. d. was held on 12 July 2018. The resolutions of the General Meeting were published by the company and are available on the company's website and on the SEOnet web portal of the Ljubljana Stock Exchange.
  • On 9 August 2018, the rating agency Fitch Ratings confirmed the existing insurer financial strength rating of "BBB-". The rating reflects Fitch Ratings' view that the acquisition of Adriatic Slovenica by Generali CEE Holding B. V., which manages the operations of Assicurazioni Generali S. p. A. (IFS rating A- / Stable), would further strengthen the financial strength of Adriatic Slovenica d. d.
  • In October, KD Skladi, in cooperation with Peakside Capital, acquired a third property in Slovenia for the KD Adriatic Value Fund real estate fund – the Arkadia shopping centre in Dob pri Domžalah.
  • On 10 December 2018, Generali CEE Holding, B. V. received European Commission approval for the acquisition of the insurer Adriatic Slovenica.

– Liquidation proceedings for Firsthouse Investments ltd. began in January 2019. The company was deleted from the court register on 4 October 2019.
– On 13 February 2019, the sale process was completed, in accordance with the agreement of 23 May 2018 for the sale of a 100% interest in Adriatic Slovenica, with the transfer of all shares in Adriatic Slovenica to the new holder, Generali CEE Holding, b. v.
– On 13 February 2019, the bank loan and the KDH4 bonds were repaid in full. Repayment of the bank loan released the mortgage on the subsidiary's land and all other loan security.
– On 13 February 2019, Board member Gabrijel Škof submitted his resignation as a member of the Board of Directors to the Chairman of the Board of Directors, effective as of the date of the company's 25th General Meeting of shareholders.
– On 5 March 2019, the merger agreements for the merger of KD Kapital and KD Kvart into KD Group were submitted to the registry authority. The effective date of both mergers is 31 December 2018, with all actions being deemed to have been carried out on behalf of the acquiring company from 1 January 2019 onwards, with the merger taking effect upon registration of the merger in the court register.
– On 6 March 2019, the number of treasury shares was reduced to 62,201 following the release of a pledge on 200,000 shares of the KDHR class.
– At the 25th General Meeting of shareholders of KD Group on 17 April 2019, Gregor Sluga was appointed as a member of the Board of Directors with effect from the date of the General Meeting, for a four-year term of office.
– On 17 April 2019, at the 25th General Meeting of KD Group, shareholders approved the merger of KD Kapital and KD Kvart into KD Group. As the merger is classified as a form of corporate restructuring, KD Group was required to comply with the provisions of the Act on the Legal Successors of Authorised Investment Companies and to offer shareholders appropriate cash compensation. The General Meeting of shareholders approved the payment of cash compensation of EUR 86.67 for each KDHR share. The effective date of the merger is 1 January 2019. The merger was recorded in the court register on 15 July 2019 and applies from the effective date of the merger onwards.
– On 24 April 2019, KD published amendments to the KD Group Governance Code.
– On 10 July 2019, the bankruptcy proceedings of Seaway Design d.o.o. – in bankruptcy were concluded, and the company was deleted from the court register.
– On 15 July 2019, the merger of KD Kapital and KD Kvart into KD Group was recorded in the court register.
– On 29 July 2019, the company published the notice convening the 26th General Meeting of shareholders, which was held on 30 August 2019.
– On 13 September 2019, a court decision was issued recording a reduction of share capital through the cancellation of 204,978 treasury shares of the KDHR class. Share capital was reduced by EUR 6,842,864 and, following the reduction, amounts to EUR 82,479,119.
– On 23 October 2019, KD Group paid cash compensation to shareholders who had submitted a request for the repurchase of KDHR shares, at a rate of EUR 86.67 for each KDHR share. As part of this corporate action, KD Group acquired 26,695 KDHR shares and made a total cash compensation payment of EUR 2,313,656.
– On 11 December 2019, a 100% interest in DRI Naložbe was sold.
– In 2019, KD Group acquired a total of 275,373 treasury shares of the KDHR class.

Significant events in 2020:

  • On 25 May 2020, KD Group published the notice convening the 27th General Meeting of shareholders.
  • On 26 June 2020, at the 27th General Meeting of KD Group, shareholders were presented with the 2019 annual report and approved the proposed allocation of net profit. Part of the net profit, in the amount of EUR 79,061,184.00, was used for the payment of dividends, which, taking into account the total number of shares issued (without deducting treasury shares), amounted to a gross value of EUR 32.00 per share. The General Meeting was also presented with the Report on the Acquisition of Treasury Shares and approved a reduction of share capital through the cancellation of treasury shares.
  • On 3 July 2020, a court decision was issued recording an amendment to the company's articles of association due to a reduction of share capital through the cancellation of treasury shares of the KDHR class. Following registration of the amendments in the court register on 3 July 2020, the company's share capital amounts to EUR 78,037,489.57, and the number of shares issued in the KDHR class amounts to 2,337,613. The company subsequently carried out the withdrawal of 133,049 KDHR shares from the organised market of the Ljubljana Stock Exchange and the deletion of the withdrawn shares from the central securities register held by KDD – Centralna klirinško depotna družba, d.d.
  • On 10 July 2020, KD Group paid out EUR 74,803,616 in dividends.

Significant events in 2021:

  • On 3 March 2021, the Board of Directors of KD Group adopted a resolution to reduce share capital through the cancellation of 180,126 treasury shares. As a result of the cancellation of treasury shares, share capital was reduced by EUR 6,013,219.83 and, following the reduction, amounts to EUR 72,024,269.74. The reduction of share capital was recorded in the court register on 8 March 2021.
  • At the 28th General Meeting of shareholders of KD Group d. d., held on 5 March 2021, shareholders appointed Matija Gantar as a member of the Board of Directors for a four-year term of office beginning on 11 March 2021.
  • On 9 June 2021, at the 29th General Meeting of KD Group, shareholders were presented with the 2020 annual report and approved the proposed allocation of net profit. Part of the net profit, in the amount of EUR 24,811,100.50, was used for the payment of dividends, which, taking into account the total number of shares issued (without deducting treasury shares), amounted to a gross value of EUR 11.50 per share. The General Meeting authorised the company's Board of Directors to acquire treasury shares. For a four-year term of office beginning on 18 November 2021, the General Meeting appointed Aleksander Sekavčnik, Tomaž Butina, Aljoša Tomaž and Katarina Valentinčič Istenič as members of the Board of Directors. The General Meeting was also presented with the Report on the Acquisition of Treasury Shares.
  • On 3 June 2021, the Maribox cinema centre reopened its cinema halls.
  • At its meeting on 29 October 2021, the Board of Directors appointed Aleksander Sekavčnik as Chairman of the Board of Directors and, for a new four-year term of office beginning on 18 November 2021, appointed Zoran Bošković as Executive Director.
  • On 22 November 2021, the company's Board of Directors received a request from the shareholder KD, finančna družba, d. d. to convene a General Meeting to vote on the squeeze-out of minority shareholders and the withdrawal of shares from the organised market.
  • On 28 December 2021, at the 30th General Meeting of KD Group, shareholders approved the transfer of all KDHR shares not held by the principal shareholder – i.e. 57,394 KDHR shares – to the principal shareholder, in exchange for cash compensation of EUR 44.90 for each KDHR share.
  • At the 30th General Meeting on 28 December 2021, a resolution was adopted to withdraw 2,157,487 KDHR shares from the organised market. The resolution takes effect on the date of registration of the resolution on the transfer of minority shareholders' shares to the principal shareholder, and becomes effective on the date of registration in the court register of this resolution on the withdrawal of 2,157,487 KDHR shares from the organised market.

Significant events in 2022:

  • On 17 February 2022, the District Court in Ljubljana recorded in the court register the resolution of the 30th General Meeting of the joint-stock company KD Group of 28 December 2021, by which shareholders approved the transfer of minority shareholders' shares to the principal shareholder, the company KD d. d.
  • Following the close of trading on 18 February 2022, the Ljubljana Stock Exchange temporarily suspended trading in KDHR shares. The temporary suspension of trading lasted until the withdrawal of KDHR shares from the stock market.
  • On 23 February 2022, cash compensation of EUR 44.90 for each KDHR share was paid out as part of the squeeze-out procedure for minority shareholders of KD Group.
  • On 24 February 2022, the District Court in Ljubljana, on the basis of the resolution adopted at the 30th General Meeting of shareholders of KD Group on 28 December 2021, recorded in the court register the resolution on the withdrawal of 2,157,487 KDHR shares from the organised market of the Ljubljana Stock Exchange.
  • On 28 February 2022, the Ljubljana Stock Exchange withdrew the ordinary registered no-par-value shares of the KDHR class from trading on the stock market.
  • On 4 July 2022, the District Court in Ljubljana recorded in the court register the newly established company KD Priložnost d.o.o., whose sole shareholder is KD Group.
  • On 12 July 2022, at the 30th General Meeting of KD Group, shareholders were presented with the audited annual report for 2021. They adopted a resolution on the use of net profit for 2021, namely that the net profit remains unallocated and that decisions on its use will be made in future financial years. The General Meeting approved the Remuneration Policy for members of the management and supervisory bodies and executive directors of KD Group, as well as the remuneration report for the 2021 financial year. The audit firm MAZARS, družba za revizijo, d.o.o. was appointed to audit operations for the 2022, 2023 and 2024 financial years.
  • On 28 December 2022, the subsidiary KD Priložnost d. o. o. concluded agreements for the acquisition of 100% interests in the companies Onisac d. o. o. and Astraea d. o. o.

  • On 6 February 2023, the approval of the Ministry of Finance was obtained for the transfer of ownership of 100% business interests in the companies Onisac d. o. o. and Astraea d. o. o. to KD Priložnost d.o.o. The transfer of ownership was recorded in the court register on 27 February 2023.
  • At the 32nd General Meeting of KD Group on 11 April 2023, shareholders appointed Gregor Sluga, M.Sc. as a member of the Board of Directors of KD Group for a four-year term of office beginning on 18 April 2023.
  • On 20 April 2023, at the 33rd General Meeting of KD Group, shareholders were presented with the audited annual report for 2022 and the remuneration report for the management and supervisory bodies and executive directors of KD Group d. d. for the 2022 financial year. They adopted a resolution on the use of net profit for 2022, namely that the net profit remains unallocated and that decisions on its use will be made in future financial years, as well as a resolution to reduce share capital by EUR 12,405,550.25. The resolution on the reduction of share capital was recorded in the court register on 24 April 2023. Following the reduction, share capital amounts to EUR 59,618,719.49 and is divided into 2,157,487 registered no-par-value shares of the KDHR class. Payment to shareholders was made, in accordance with Article 375 of the Companies Act (ZGD-1), after the expiry of the six-month period following publication of the resolution on the reduction of share capital.
  • At its meeting on 30 August 2023, the Board of Directors of KD Group reappointed Gregor Sluga, M.Sc. as Chief Executive Officer, with his term of office beginning on 2 September 2023 for a period of four years.

Significant events in 2024:

  • On 9 April 2024, at the 34th General Meeting of KD Group, shareholders were presented with the audited annual report for 2023 and the remuneration report for the management and supervisory bodies and executive directors of KD Group d. d. for the 2023 financial year. They adopted a resolution on the use of net profit for 2023, namely that part of the net profit, in the amount of EUR 2,200,636.74, is used for the payment of dividends, while the remaining net profit of EUR 2,521,987.84 remains unallocated and decisions on its use will be made in future financial years.
  • On 30 June 2024, the KDH3 bonds issued by KD Group matured
  • With the maturity of the KDH3 bonds, KD Group d. d. is no longer a public company and is therefore no longer legally required to comply with the provisions of the Financial Instruments Market Act applicable to public companies.
