Notice regarding the outcome of the takeover bid for the shares of NAMA Trgovsko podjetje d.d.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 51/06, UPB 2), KD Group, d.d., Ljubljana, hereby issues the following announcement:

Pursuant to Article 54 of the Takeovers Act (Official Gazette of the Republic of Slovenia, No. 79/06, hereinafter: ZPre-1), KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana (hereinafter: the acquirer) hereby announces the outcome of the takeover bid for the purchase of shares in NAMA Trgovsko podjetje d.d., Ljubljana, Tomšičeva 1, Ljubljana (hereinafter: ‘NAMA d.d.’ or the ‘target company’) pursuant to the authorisation of the Securities Market Agency No. 171/158/AG-07-(182) dated 1 June 2007.

During the period of the takeover bid, from 6 June 2007 inclusive to 4 July 2007 inclusive by 10.00 am, the offer was accepted by 114 acceptors, who together held 80,645 shares in the target company, ticker symbol NALN, which were the subject of the takeover bid, representing 8.46 per cent of all shares in the target company.

The offeror thus together with the 381,566 shares in the target company that it held on the date of publication of the takeover bid, holds 462,211 shares in the target company, representing 48.46 per cent of all shares in the target company.

In accordance with the provisions of the takeover bid prospectus, the takeover bid for the purchase of shares in the target company has been successful.

This notice will also be published on the website www.kd-group.com under ‘Public Announcements’ from 6 July 2007 until further notice.
