Notice of a Supervisory Board meeting

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 51/06, UPB 2), KD Group, d.d., Ljubljana, hereby issues the following announcement:

The Supervisory Board of KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana, held its 13th meeting on 10 July 2006.

At the meeting, the Supervisory Board considered the audited Annual Report of the KD Holding Group and KD Holding d.d. for the financial year 2006. It took note of the auditor’s unqualified opinion on the annual report, the Management Board’s reports on relations with the parent company and on dealings with associated companies, and considered the Management Board’s proposal for the appropriation of retained earnings. The Supervisory Board adopted the written report of the Supervisory Board on the review of the annual report, thereby approving the Annual Report of the KD Holding Group and KD Holding d.d. for 2006.
The Supervisory Board also considered the proposed agenda for the company’s 10th General Meeting of Shareholders. It agreed to the proposal to convene the General Meeting, the agenda and the justifications for the proposed resolutions of the General Meeting of Shareholders. In this context, it adopted the proposed resolutions for which it acts as proposer or co-proposer and authorised the Management Board to convene the meeting. The company’s Annual General Meeting is expected to take place in the last week of August. The notice convening the meeting will be published in the newspaper *Dnevnik* and on the SEOnet website and the company’s website www.kd-group.com by the end of July 2007 at the latest.
Later in the meeting, the Supervisory Board reviewed and approved the internal audit charter of KD Holding d.d. and was briefed on the current activities and operations of the companies within the KD Holding Group for the period January – March 2007.
