Change in the proportion of the supervisory board member’s securities held in the issuer’s share capital

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 51/06, UPB 2), KD Group, d.d., Ljubljana hereby issues the following announcement:

KD Holding, finančna družba, d.d., Celovška cesta 206, Ljubljana (hereinafter: KD Holding d.d.) has received notification from a member of the Supervisory Board of KD Holding d.d., Mr Alojz Penko, that on 8 December 2006 he sold 60 shares of the issuer KD Holding d.d., with the ticker symbol KDHR, on the Ljubljana Stock Exchange, with a total value of 670,850.00 SIT. Following the transaction, Alojz Penko holds 170 KDHR shares, representing a 0.006 per cent stake in the issuer’s share capital.

The company will also publish this notice on its website www.kd-group.si from 18 December 2006 until further notice, under the ‘Notices’ section in the ‘Public Announcements’ category.
