Acquisition of shares in Globtour d.o.o. and Globtour Praha s.r.o.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), KD Group, d.d., Ljubljana, hereby issues the following announcement:

KD Holding, finančna družba, d.d., Ljubljana announces that on 7 February 2003 it entered into:
- an agreement for the purchase of shares representing 94.719 per cent of the share capital of Globtour, a tourism company, d.o.o., Ljubljana; and
- a preliminary agreement to purchase a shareholding representing 99 per cent of the share capital of Globtour Praha s.r.o., Prague, Czech Republic.
