Notice regarding the conclusion of a share agreement

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), KD d.d., Ljubljana, hereby issues the following announcement:

KD Group, finančna družba, d.d., Celovška cesta 206, Ljubljana, hereby informs the public that on 10 August 2006, together with the companies Indesign, d. o. o., Ljubljana, Padakia Limited, Limassol, Cyprus, and IT Inženiring, d. o. o., Ljubljana, a ‘Shareholders’ Agreement on the Exercise of Shareholders’ Rights in KD Holding, a financial company, d. d.’, with the aim of ensuring the smooth operation of KD Holding d. d. and the stability of its shareholder structure.

From 11 August 2006 until further notice, the company will also publish this notice on its website www.kd-group.si under ‘Notices’ in the ‘Public Announcements’ section.
