Notice regarding a qualifying holding in accordance with the ZPre-1 Act

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange d.d. and the ZTVP-1 (Official Gazette of the Republic of Slovenia, No. 56/99), KD d.d., Ljubljana, hereby issues the following announcement:

KD Group, financial company d.d., Celovška 206, Ljubljana, in accordance with the fourth paragraph of Article 10 of the Takeovers Act (Official Gazette of the Republic of Slovenia, No. 79/06 – ZPre-1), hereby publishes the following notice regarding qualifying holdings pursuant to Article 77 of ZPre-1 and the termination of a qualifying holding:

Avra d.o.o., Ljubljana, has notified us, in accordance with Article 77 of ZPre-1, that as at 11 August 2006 it held more than a five per cent share of the voting rights in KD Group d.d. (SKDR shares).
In accordance with the first paragraph of Article 10, Avra d.o.o., Ljubljana, also notified us that it had disposed of some of its shares and, as at 31 August 2006, was no longer the holder of a 5 per cent share of the voting rights in KD Group d.d. (SKDR shares).
Bank Austria Creditanstalt d.d., Ljubljana, acting on behalf of BANK AUSTRIA CREDITANSTALT AG, Vordere Zollamstrasse 13, 1030 Vienna, Republic of Austria, has informed us that on 11 August 2006, BANK AUSTRIA CREDITANSTALT AG exceeded a 5 per cent share of voting rights, as on that date it held 36,605 shares in SKDR, representing a 19.634 per cent stake in the issued securities of KD Group d. d.
DRI d.o.o. – in liquidation, Ljubljana, notified us in accordance with Article 77 of the ZPre-1 that, on 11 August 2006, it held more than a five per cent share of the voting rights in KD Group d.d. (SKDR shares).
Epakta d.o.o., Škofja Loka, has notified us in accordance with Article 77 of the ZPre-1 that, as at 11 August 2006, it held more than a five per cent share of the voting rights in KD Group d.d. (SKDR shares).
Hypo Alpe Adria Bank d.d., Ljubljana, has notified us in accordance with Article 77 of the ZPre-1 that HYPO ALPE-ADRIA-BANK AG, Landstrasse 126A, Schaa, Liechtenstein, held more than a 5 per cent share of the voting rights in KD Group d.d. (SKDR shares) as at 11 August 2006.

From 5 September 2006 until further notice, the company will also publish this notification on its website www.kd-group.si under ‘Notices’ in the ‘Public Announcements’ section.
